ASSIGNMENT OF ALL RIGHTS TO PHOTOGRAPH

This Assignment of All Rights to Photograph (the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**Assignor:** {{photographer_name}}, an individual residing at {{photographer_address}} (hereinafter referred to as “Assignor”).

**Assignee:** {{assignee_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{assignee_company_address}} (hereinafter referred to as “Assignee”).

RECITALS

WHEREAS, Assignor is the sole creator and owner of all rights, including copyright, in and to the photographs described in Schedule A attached hereto (the “Photographs”);

WHEREAS, Assignee desires to acquire all rights, title, and interest in and to the Photographs from Assignor; and

WHEREAS, Assignor is willing to assign all such rights, title, and interest to Assignee, subject to the terms and conditions set forth herein.

ASSIGNMENT OF RIGHTS

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby irrevocably assigns, transfers, and conveys to Assignee, its successors and assigns, worldwide and in perpetuity, all rights, title, and interest in and to the Photographs, including, but not limited to, all copyrights, neighboring rights, and all other intellectual property rights of any nature whatsoever, whether now known or hereafter devised, in all media and forms, whether now known or hereafter developed.

WARRANTIES AND REPRESENTATIONS OF ASSIGNOR

Assignor hereby warrants and represents to Assignee that:

a) Assignor is the sole creator and owner of the Photographs and has the full right, power, and authority to enter into this Agreement and to assign the rights granted herein.

b) The Photographs are original works of authorship and do not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

c) Assignor has not previously assigned, licensed, or otherwise encumbered any of the rights in the Photographs that are being assigned hereunder.

INDEMNIFICATION

Assignor shall indemnify, defend, and hold harmless Assignee, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach or alleged breach of Assignor’s warranties and representations contained in this Agreement.

FURTHER ASSURANCES

Assignor agrees to execute and deliver any and all further documents and instruments, and to take any other actions, that Assignee may reasonably request to perfect, confirm, or protect Assignee’s rights in the Photographs hereunder.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governing_law}}, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, inducements, and conditions, express or implied, oral or written, of any kind pertaining to the subject matter of this Agreement.
