Subject: Notice of Member Removal

This letter serves as formal notification regarding the removal of {{member_name}} from {{company_name}}, a Limited Liability Company, effective {{effective_date}}.

Background

WHEREAS, {{company_name}} (hereinafter, the "Company") is a Limited Liability Company duly organized and existing under the laws of {{jurisdiction}}.

WHEREAS, {{member_name}} (hereinafter, the "Removed Member") was a member of the Company.

WHEREAS, a decision has been made in accordance with the Company's Operating Agreement for the removal of the Removed Member.

Basis for Removal

Cessation of Rights and Obligations

Effective {{effective_date}}, {{member_name}} shall cease to be a member of {{company_name}}. All rights, powers, and privileges associated with membership, including but not limited to, voting rights, rights to distributions, and access to company information, shall terminate.

The Removed Member shall be released from all future obligations as a member, except for any obligations that accrued prior to the effective date of removal or as otherwise stipulated in the Operating Agreement or other binding agreements.

Capital Account and Distributions

The Company shall settle the Removed Member's capital account in accordance with the provisions of the Operating Agreement, specifically Section {{capital_account_settlement_section}}.

Any distributions due to the Removed Member shall be made as per the terms of the Operating Agreement and applicable law, and in the amount of {{settlement_amount}}.

Indemnification

The Removed Member shall be indemnified by the Company to the extent provided in the Operating Agreement and applicable law for acts performed or omissions made in their capacity as a member prior to the effective date of removal.
