COMMISSION SALES AGREEMENT
This Commission Sales Agreement ("Agreement") is made and entered into as of {{date}} ("Effective Date"), by and between {{company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{company_address}} ("Company"), and {{sales_representative_name}}, residing at {{sales_representative_address}} ("Sales Representative").
1. ENGAGEMENT AND DUTIES
The Company hereby engages the Sales Representative as an independent contractor to solicit sales for the Company's products/services, namely {{product_service_description}}, within the designated territory of {{sales_territory}}.
The Sales Representative shall use their best efforts to promote and sell the Company's products/services and shall conduct all activities in a professional and ethical manner, adhering to all Company policies and procedures.
2. COMMISSION STRUCTURE
The Sales Representative shall be paid a commission based on the net sales revenue generated from concluded sales directly attributable to their efforts, after any discounts, returns, or allowances. The commission rate shall be {{commission_rate}}% of the net sales revenue.
Commissions shall be calculated and paid on a {{commission_payment_frequency}} basis, typically {{number_of_days}} days after the end of the {{commission_payment_period}}. A detailed statement of sales and commissions earned will be provided to the Sales Representative with each payment.
3. PAYMENT TERMS
Commissions will only be paid on sales that have been closed, delivered, and fully paid for by the customer. No commission will be paid on cancelled orders, uncollected payments, or returned goods.
The Company reserves the right to offset any advances, draws, or unearned commissions against future commission payments.
4. TERM AND TERMINATION
This Agreement shall commence on the Effective Date and shall continue until terminated by either party with {{notice_period}} days' written notice.
Either party may terminate this Agreement immediately for material breach of its terms by the other party, including but not limited to, fraud, misconduct, or failure to meet agreed-upon sales targets of {{sales_target_description}}.
5. INDEPENDENT CONTRACTOR STATUS
The Sales Representative is an independent contractor and not an employee, partner, or agent of the Company. The Sales Representative shall be solely responsible for all income tax, social security, and other employment-related taxes and contributions.
6. CONFIDENTIALITY
The Sales Representative agrees to keep all proprietary and confidential information of the Company, including but not limited to customer lists, pricing strategies, and product development, strictly confidential during and after the term of this Agreement.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of {{applicable_law_country}}.
