End-User Software License Agreement B2C

1. Grant of License

Subject to the terms and conditions of this Agreement, {{licensor_company_name}} hereby grants the end-user (hereinafter "Licensee") a non-exclusive, non-transferable, revocable license to install and use one copy of the software product named {{software_name}} (hereinafter "Software") on a single device for personal, non-commercial purposes only. This license is granted for the period set forth in {{license_term_duration}} starting from {{license_start_date}}.

2. Restrictions

Licensee agrees not to, and will not permit others to, (a) license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Software or make the Software available to any third party.

(b) modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Software.

(c) remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of {{licensor_company_name}} or its affiliates, partners, suppliers or the licensors of the Software.

3. Intellectual Property

The Software and its original content, features and functionality are and will remain the exclusive property of {{licensor_company_name}} and its licensors. The Software is protected by copyright, trademark, and other laws of {{country}}. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of {{licensor_company_name}}.

4. Termination

This License Agreement is effective from the date of your acceptance of this Agreement and shall continue until terminated by either party. Licensee may terminate this Agreement by deleting the Software and all copies thereof from their device.

This Agreement will terminate automatically without notice from {{licensor_company_name}} if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee shall cease all use of the Software and delete all copies of the Software from their device. Failure to terminate effectively might result in legal action and financial penalties as per {{local_jurisdiction_consumer_protection_act}}.

5. Disclaimer of Warranty

The Software is provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. {{licensor_company_name}} does not warrant that the Software will be uninterrupted, error-free, or free of viruses or other harmful components. Use of the Software is at Licensee's sole risk. This disclaimer is in accordance with {{local_consumer_rights_act}}.

6. Limitation of Liability

In no event shall {{licensor_company_name}}, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Software; (ii) any conduct or content of any third party on the Software; (iii) any content obtained from the Software; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage. This limitation of liability applies to the fullest extent permitted by law in {{country}}.

7. Governing Law

This Agreement shall be governed and construed in accordance with the laws of {{country}}, without regard to its conflict of law provisions. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in {{city}}, {{country}}.

8. Entire Agreement
