Contract Title and Parties

**CONTRACT AGREEMENT**

This Contract Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**Party A:** {{party_a_name}}, a company duly incorporated and existing under the laws of {{party_a_jurisdiction}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as "Party A").

**AND**

Recitals/Background

Scope of Work/Services/Goods

**1. SCOPE OF SERVICES/GOODS:**

Payment Terms

**4. COMPENSATION:**

Term and Termination

**5. TERM:**

**6. TERMINATION:**

This Agreement may be terminated under the following circumstances:

**6.1. By Mutual Agreement:** Both Parties may terminate this Agreement by mutual written consent.

**6.2. For Cause:** Either Party may terminate this Agreement immediately upon written notice to the other Party if the other Party commits a material breach of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.

**6.3. Without Cause:** Either Party may terminate this Agreement without cause by providing {{notice_period_days}} days' written notice to the other Party.

Confidentiality

**7. CONFIDENTIALITY:**

Both Parties agree to keep confidential all non-public information, including but not limited to business plans, financial information, customer lists, and proprietary technologies, disclosed by one Party to the other Party in connection with this Agreement. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

Governing Law and Dispute Resolution

**8. GOVERNING LAW:**

This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

**9. DISPUTE RESOLUTION:**

Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall first be attempted to be resolved through good faith negotiations between the Parties. General Provisions

**10. ENTIRE AGREEMENT:**

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

**11. AMENDMENTS:**

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.

**12. SEVERABILITY:**

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.

**13. ASSIGNMENT:**

Neither Party may assign any of its rights or obligations under this Agreement without the prior written consent of the other Party.

**14. NOTICES:**

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered by hand, sent by reputable overnight courier service, or sent by email with confirmation of receipt, to the addresses specified above.
