Referral Agreement

1. Parties

This Referral Agreement (the “Agreement”) is made effective as of {{effective_date}} (the “Effective Date”) by and between:

Referrer: {{referrer_name}}, with a principal place of business at {{referrer_address}} (hereinafter “Referrer”), and

Company: {{company_name}}, with a principal place of business at {{company_address}} (hereinafter “Company”).

2. Purpose

The Referrer wishes to refer potential clients/customers to the Company for the purpose of {{purpose_of_referral_program}}. The Company agrees to pay the Referrer a commission for successful referrals in accordance with the terms of this Agreement.

3. Referral Process

3.1. The Referrer shall identify and introduce potential clients or customers (hereinafter “Referred Clients”) to the Company.

3.2. Referrals shall be made in writing, via email to {{company_email_for_referrals}} or via the Company’s designated online portal, and shall include the Referred Client’s name, contact information, and a brief description of their potential interest in the Company’s services/products.

3.3. The Company will acknowledge receipt of each referral within {{acknowledgement_days}} business days.

3.4. A referral will be considered valid if: (a) the Referred Client is new to the Company and has not been in active discussions with the Company in the past {{prior_contact_months}} months; (b) the Referred Client expresses genuine interest in the Company’s services/products; and (c) the referral is not in violation of any applicable laws or regulations.

4. Commission

4.1. The Company shall pay the Referrer a commission of {{commission_percentage}}% of the net revenue received by the Company from a successful engagement with a Referred Client.

4.2. “Net revenue” shall be defined as the total amount paid by the Referred Client to the Company, less any taxes, refunds, discounts, or chargebacks.

4.3. Commissions will be calculated and paid on a {{payment_frequency}} basis, within {{payment_days}} days of the end of each period.

4.4. Commissions will be paid via {{payment_method}} to the Referrer’s nominated bank account: {{bank_name}}, Account Name: {{account_name}}, Account Number: {{account_number}}, Branch Code: {{branch_code}}.

4.5. The Referrer is responsible for all applicable taxes on commissions earned.

5. Term and Termination

5.1. This Agreement shall commence on the Effective Date and continue until terminated by either party.

5.2. Either party may terminate this Agreement at any time, with or without cause, by providing {{notice_period_days}} days’ written notice to the other party.

5.3. Upon termination, the Company shall pay all outstanding commissions due to the Referrer for successful referrals made prior to the effective date of termination.

6. Confidentiality

6.1. Both parties agree to keep all confidential information, including but not limited to business strategies, client lists, and pricing, confidential and not disclose it to any third party.

6.2. This obligation of confidentiality shall survive the termination of this Agreement.

7. Independent Contractor

The Referrer is an independent contractor and not an employee, partner, or agent of the Company. The Referrer shall have no authority to bind the Company to any obligation or make any representation on the Company’s behalf.

8. Limitation of Liability

Neither party shall be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

11. Signatures
