EMPLOYEE SEPARATION AGREEMENT

This Employee Separation Agreement ("Agreement") is made and entered into this {{date_of_agreement}}, by and between:

{{company_name}}, a company duly incorporated in accordance with the laws of [Jurisdiction], with its principal place of business at {{company_address}} (hereinafter referred to as "the Company"); and

{{employee_name}}, an adult individual residing at {{employee_address}} (hereinafter referred to as "the Employee").

Collectively referred to as "the Parties".

1. Termination of Employment

The Parties hereby agree that the Employee's employment with the Company shall terminate permanently effective {{last_day_of_employment}} ("Termination Date"). The Employee's last physical day of work shall be {{last_physical_work_day}}.

2. Severance Pay

In consideration for the Employee's execution of this Agreement and compliance with its terms, the Company agrees to pay the Employee a gross severance amount of {{severance_amount}} ({{severance_amount_words}}) less applicable deductions and withholdings. This amount shall be paid on or before {{severance_payment_date}}.

3. Final Salary and Other Payments

The Company will pay the Employee all outstanding salary and wages up to the Termination Date, including payment for any accrued but untaken leave, in accordance with applicable labor laws. These payments will be made on {{final_payment_date}}.

4. Return of Company Property

The Employee confirms that all Company property, including but not limited to laptops, mobile phones, keys, access cards, and documents (whether physical or electronic), has been or will be returned to the Company by {{return_property_date}}. The Employee further confirms that no copies of Company property or confidential information have been retained.

5. Confidentiality

The Employee agrees to maintain the confidentiality of all confidential and proprietary information of the Company, both during and after the termination of employment. This includes, but is not limited to, trade secrets, client lists, business strategies, and financial information. The Employee shall not at any time disclose such information to any third party or use it for personal benefit.

6. Non-Disparagement

The Employee agrees not to make any disparaging remarks or comments about the Company, its officers, directors, employees, products, or services. The Company agrees that its authorized representatives will not make any disparaging remarks or comments about the Employee.

7. Release of Claims

In exchange for the consideration provided in this Agreement, the Employee, on behalf of themselves, their heirs, executors, administrators, and assigns, hereby releases and forever discharges the Company, its directors, officers, employees, agents, successors, and assigns from any and all claims, demands, actions, causes of action, and liabilities of any nature whatsoever, known or unknown, suspected or unsuspected, which the Employee ever had, now has, or may have against the Company up to the Termination Date.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

9. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, inducements, and conditions, express or implied, oral or written, of any nature whatsoever, with respect to the subject matter hereof.
