Acknowledgment of Independent Contractor Status

This Acknowledgment of Independent Contractor Status (hereinafter referred to as 'Acknowledgment') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between {{company_name}}, a company duly registered in {{country}} with its principal place of business at {{company_address}} (hereinafter referred to as 'the Company'), and {{contractor_name}}, an individual residing at {{contractor_address}} (hereinafter referred to as 'the Contractor').

1. Purpose of Engagement

The Company hereby engages the Contractor to provide specific services as outlined in the Service Agreement dated {{service_agreement_date}} (hereinafter referred to as 'the Service Agreement'). These services primarily include {{description_of_services}}.

It is mutually understood and agreed upon that the Contractor is providing these services as an independent contractor and not as an employee of the Company.

2. Independent Contractor Status

The Contractor acknowledges and agrees that they are an independent contractor and not an employee, partner, joint venturer, or agent of the Company. The Contractor further acknowledges that they are not entitled to any employee benefits, including but not limited to, health insurance, paid time off, retirement plans, or any other benefits provided by the Company to its employees.

The Company will not withhold any taxes from the compensation paid to the Contractor. The Contractor is solely responsible for all tax obligations, including income tax, social security, and any other applicable taxes, as required by the laws of {{country}}.

3. Control and Autonomy

The Contractor shall have full control over the means and methods of performing the services hereunder. The Company shall only retain the right to specify the desired results of the services.

The Contractor is free to work for other companies or clients, provided that such work does not conflict with the Contractor’s obligations under the Service Agreement or this Acknowledgment.

4. Tools and Equipment

The Contractor shall provide their own tools, equipment, and resources necessary to perform the services, unless otherwise explicitly agreed upon in the Service Agreement. The Company shall not be liable for the loss or damage of any of the Contractor's property.

5. Indemnification

The Contractor agrees to indemnify and hold harmless the Company from any and all claims, liabilities, losses, damages, and expenses (including legal fees) arising from or in connection with the Contractor's performance of services under the Service Agreement, or any breach of this Acknowledgment.

6. Governing Law

This Acknowledgment shall be governed by and construed in accordance with the laws of {{country}}.

7. Entire Agreement

This Acknowledgment, together with the Service Agreement, constitutes the entire agreement between the Company and the Contractor with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
