EXCLUSIVE CONTRACTOR AGREEMENT

This Exclusive Contractor Agreement ('Agreement') is made and entered into as of {{date_of_agreement}} ('Effective Date') by and between:

{{company_name}} (Registration Number: {{company_registration_number}}), a company duly incorporated and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as the 'Company'); and

{{contractor_name}} (Identity/Passport Number: {{contractor_id_number}}), an individual/entity residing at {{contractor_address}} (hereinafter referred to as the 'Contractor').

Collectively referred to as the 'Parties' and individually as 'Party'.

1. ENGAGEMENT AND SERVICES

1.1. The Company hereby engages the Contractor, and the Contractor hereby accepts such engagement, to provide the services ('Services') as more fully described in Schedule A attached hereto.

1.2. The Contractor agrees to provide the Services exclusively to the Company during the term of this Agreement and shall not, without the prior written consent of the Company, directly or indirectly provide similar or competing services to any other person or entity.

2. TERM AND TERMINATION

2.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{agreement_duration}} unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party.

2.3. Notwithstanding clause 2.2, either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

3. COMPENSATION

3.1. In consideration for the Services rendered by the Contractor, the Company shall pay the Contractor a fee of {{fee_amount}} {{currency}} ({{currency_in_words}}) per {{payment_period}} ('Fee').

3.2. Payments shall be made to the Contractor on or before the {{payment_due_date}} of each {{payment_period_for_due_date}}.

3.3. The Contractor shall be responsible for all taxes, duties, and other levies arising from the compensation received under this Agreement.

4. INDEPENDENT CONTRACTOR STATUS

4.1. The Contractor is an independent contractor and not an employee, partner, or agent of the Company. The Contractor shall not be entitled to any employee benefits, including but not limited to, health insurance, retirement plans, or paid leave.

4.2. The Contractor shall be solely responsible for determining the means and methods of performing the Services.

5. CONFIDENTIALITY

5.1. The Contractor acknowledges that during the course of providing the Services, the Contractor may have access to confidential and proprietary information belonging to the Company. The Contractor agrees to keep such information strictly confidential and not to disclose it to any third party without the prior written consent of the Company.

5.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

6. INTELLECTUAL PROPERTY

6.1. All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, developed or created by the Contractor in the course of performing the Services shall be the sole and exclusive property of the Company.

6.2. The Contractor hereby assigns to the Company all right, title, and interest in and to any such intellectual property.

7. GOVERNING LAW AND JURISDICTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

8. ENTIRE AGREEMENT

8.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
