Interview Confidential Disclosure Agreement
This Confidential Disclosure Agreement ("Agreement") is made and entered into as of {{date_of_agreement}} (the "Effective Date"), by and between {{company_name}} (hereinafter referred to as "Disclosing Party"), with its principal place of business at {{company_address}}, and {{candidate_name}} (hereinafter referred to as "Receiving Party"), residing at {{candidate_address}}.
Purpose
The Disclosing Party is considering the Receiving Party for potential employment in the role of {{job_title}}. In connection with this consideration, the Disclosing Party may disclose certain confidential and proprietary information to the Receiving Party for the sole purpose of evaluating the Receiving Party's qualifications and suitability for the aforementioned role (the "Permitted Purpose").
Definition of Confidential Information
"Confidential Information" shall include all non-public information, oral or written, tangible or intangible, disclosed by the Disclosing Party to the Receiving Party, whether before or after the Effective Date, which is designated as confidential or which, by its nature, would reasonably be understood to be confidential. This includes, but is not limited to, trade secrets, business plans, financial data, customer lists, product designs, software, technical processes, marketing strategies, personnel information, and any notes, analyses, or studies prepared by the Receiving Party that contain or are based on Confidential Information.
Obligations of Receiving Party
The Receiving Party agrees to:
1. Maintain the Confidential Information in strict confidence and not disclose it to any third party without the prior written consent of the Disclosing Party.
2. Use the Confidential Information solely for the Permitted Purpose.
3. Take all reasonable measures to protect the secrecy of and avoid disclosure or unauthorized use of the Confidential Information, at least to the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care.
4. Not to copy, reproduce, or otherwise duplicate any Confidential Information without the prior written consent of the Disclosing Party.
Exclusions
The obligations of confidentiality under this Agreement shall not apply to information that:
1. Is or becomes publicly available through no fault of the Receiving Party.
2. Was rightfully in the Receiving Party's possession prior to disclosure by the Disclosing Party, without breach of any confidentiality obligation.
3. Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.
4. Is rightfully obtained by the Receiving Party from a third party without restriction on disclosure and without breach of any confidentiality obligation.
5. Is required to be disclosed by law or by order of a court or governmental agency, provided that the Receiving Party gives prompt written notice to the Disclosing Party of such requirement to enable the Disclosing Party to seek a protective order or other appropriate remedy.
Term and Return of Information
This Agreement shall remain in effect for a period of {{duration_of_agreement}} from the Effective Date. Upon the Disclosing Party's request, or upon termination of the interview process, the Receiving Party shall promptly return or destroy all Confidential Information and all copies thereof, and certify in writing to the Disclosing Party that such return or destruction has been completed.
No License
Nothing in this Agreement shall be construed as granting any rights, by license or otherwise, to any Confidential Information to the Receiving Party, other than the right to use such Confidential Information in accordance with this Agreement for the Permitted Purpose.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
Entire Agreement
This Agreement constitutes the entire agreement between the Disclosing Party and the Receiving Party regarding the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
