ADVISORY AGREEMENT

1. PARTIES

This Advisory Agreement (hereinafter referred to as the "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly incorporated under the laws of [Relevant African Country], with its principal place of business located at {{company_address}} (hereinafter referred to as "the Company"); AND

{{advisor_name}}, an individual residing at {{advisor_address}} / a company duly incorporated under the laws of [Relevant African Country], with its principal place of business located at {{advisor_address}} (hereinafter referred to as "the Advisor").

The Company and the Advisor are hereinafter collectively referred to as the "Parties" and individually as a "Party."

2. ENGAGEMENT AND SERVICES

2.1. The Company hereby engages the Advisor, and the Advisor hereby accepts such engagement, to provide advisory services (hereinafter referred to as the "Services") as more fully described in Schedule A attached hereto.

2.2. The Advisor shall perform the Services diligently, professionally, and in accordance with the highest industry standards. The Advisor shall report to {{contact_person}} at the Company.

2.3. The Advisor acknowledges that their services are rendered as an independent contractor, and nothing in this Agreement shall be construed as creating a partnership, joint venture, employer-employee, or agency relationship between the Parties.

3. TERM AND TERMINATION

3.1. This Agreement shall commence on {{start_date}} and shall continue for a period of {{term_duration}} (e.g., months, years) unless terminated earlier in accordance with the provisions of this Agreement.

3.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

3.3. This Agreement may be terminated immediately by either Party upon a material breach of this Agreement by the other Party, provided that the breaching Party fails to cure such breach within {{cure_period}} days of receiving written notice thereof.

4. COMPENSATION

4.1. In consideration for the Services rendered by the Advisor, the Company shall pay the Advisor a fee of {{currency}} {{amount}} per {{payment_frequency}} (e.g., month, project, hour), as outlined in Schedule B attached hereto.

4.2. All payments shall be made within {{payment_due_days}} days of receiving a valid invoice from the Advisor.

4.3. The Advisor shall be responsible for all applicable taxes, including income tax, social security contributions, and any other levies arising from the compensation received under this Agreement.

5. CONFIDENTIALITY

5.1. The Advisor acknowledges that in the course of providing the Services, they may have access to confidential and proprietary information belonging to the Company. The Advisor agrees to keep all such information strictly confidential and not to disclose it to any third party without the prior written consent of the Company.

5.2. This confidentiality obligation shall survive the termination of this Agreement.

6. INTELLECTUAL PROPERTY

6.1. All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, arising from the Services performed by the Advisor under this Agreement, shall be the sole and exclusive property of the Company.

6.2. The Advisor agrees to assign to the Company all rights, title, and interest in and to any intellectual property created during the term of this Agreement and related to the Services.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country].

7.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through amicable negotiation between the Parties.

7.3. If the Parties are unable to reach an amicable settlement within {{negotiation_period}} days, the dispute shall be referred to mediation in accordance with the rules of {{mediation_body}}.

7.4. If mediation fails, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body}}.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
