1. Introduction and Purpose
This AI Side Hustle Handbook (the “Handbook”) provides employees of {{company_name}} (the “Company”) with clear guidelines and expectations regarding engagement in AI-related side hustles, external projects, or ventures (collectively, “Side Hustles”). The purpose of this Handbook is to protect the Company's interests, intellectual property, confidential information, and reputation, while also supporting employees' professional development and personal pursuits. All employees are expected to familiarize themselves with and adhere to the policies outlined herein.
2. Definitions
2.1. **AI Side Hustle:** Any independent work, business, or project undertaken by an employee outside of their regular employment with the Company, that involves artificial intelligence, machine learning, data science, or related technologies.
2.2. **Confidential Information:** Includes, but is not limited to, trade secrets, proprietary software, algorithms, datasets, business plans, client information, and internal strategies of the Company.
2.3. **Company Resources:** Encompasses any Company-owned or leased equipment, software, intellectual property, data, facilities, or time paid for by the Company.
3. Disclosure and Approval Process
3.1. **Mandatory Disclosure:** Employees must disclose to their direct manager and the Human Resources department any potential AI Side Hustle that could conflict with their duties at the Company, involve the use of Company resources, or relate to the Company’s business activities or proprietary information. This disclosure should be made using the “AI Side Hustle Disclosure Form” (Appendix A) prior to commencing any such activity.
3.2. **Approval:** The Company reserves the right to approve or deny any proposed AI Side Hustle. Approval will be granted based on an assessment of potential conflicts of interest, impact on performance, and protection of Company assets and reputation. Approval must be obtained in writing from {{approving_department_or_individual}}.
3.3. **Ongoing Obligation:** Any material changes to an approved AI Side Hustle must be immediately disclosed and may require re-approval.
4. Intellectual Property and Ownership
4.1. **Company Ownership:** All intellectual property (IP) developed by an employee, either alone or with others, during working hours, using Company resources, or that relates to the Company’s current or anticipated business, products, or research, is the sole property of the Company.
4.2. **Side Hustle IP:** IP developed by an employee entirely on their own time, without the use of Company resources, and that does not relate in any way to the Company’s current or anticipated business, products, or research, may be owned by the employee. However, clear documentation and prior approval (as per Section 3) are essential to mitigate disputes.
4.3. **Assignment of IP:** Employees agree to assign to the Company all rights, title, and interest in any IP that falls under Section 4.1.
5. Use of Company Resources
5.1. Employees are strictly prohibited from using Company resources, including but not limited to, equipment, software licenses, data, networks, and confidential information, for any AI Side Hustle.
5.2. Minor incidental use of personal devices for Company work or Company devices for personal communication is at the Company’s discretion and does not extend to supporting external business ventures.
6. Conflicts of Interest and Confidentiality
6.1. Employees must avoid any AI Side Hustle that creates a conflict of interest with their duties and responsibilities at the Company. This includes, but is not limited to, working for competitors, soliciting Company clients or employees, or engaging in activities that would reasonably be perceived to undermine the Company's interests.
6.2. Employees are bound by their confidentiality agreements with the Company and must not disclose, use, or exploit any Company confidential information for the benefit of an AI Side Hustle or any third party.
7. Performance and Compliance
7.1. Employees’ engagement in AI Side Hustles must not negatively impact their performance, availability, or commitment to their duties at the Company.
7.2. All AI Side Hustles must comply with all applicable laws and regulations, including those related to data privacy (e.g., POPIA in South Africa, GDPR in Europe), export controls, and ethical AI development.
7.3. Employees are responsible for understanding and adhering to any tax implications or business registration requirements associated with their AI Side Hustle.
8. Breach of Policy and Consequences
8.1. Any violation of this Handbook may result in disciplinary action, up to and including termination of employment, and may also lead to legal action for recovery of damages or injunctive relief, depending on the severity and nature of the breach.
8.2. The Company may require the cessation of any non-compliant AI Side Hustle and the assignment of related IP to the Company.
9. Acknowledgment
