Architectural Services Agreement
This Architectural Services Agreement ("Agreement") is made and entered into on this {{date_day}} day of {{date_month}}, {{date_year}}, by and between:
{{client_name}}, with a principal place of business at {{client_address}} (hereinafter referred to as "Client"), and
{{architect_firm_name}}, a registered architectural firm with a principal place of business at {{architect_firm_address}} (hereinafter referred to as "Architect").
Collectively referred to as the “Parties”.
WHEREAS, the Client desires to engage the Architect to provide architectural services for the project described below.
WHEREAS, the Architect is duly qualified and licensed to provide such services.
Project Description

The services provided by the Architect under this Agreement relate to the design and oversight of the aforementioned project.
Scope of Services
The Architect shall provide the following services (hereinafter referred to as "Services") to the Client, which may include, but are not limited to, the following phases:
1. **Schematic Design Phase:** Development of preliminary design concepts, space planning, and initial cost estimates.
2. **Design Development Phase:** Refinement of approved schematic designs, selection of materials and systems, and further development of project details.
3. **Construction Documents Phase:** Preparation of detailed drawings, specifications, and other documents necessary for construction, including permit applications.
4. **Tendering/Procurement Phase:** Assistance with the tendering process, including answering contractor queries and advising on tender evaluation.
5. **Construction Administration Phase:** Site visits, review of contractor submittals, progress certifications, and general oversight of construction to ensure compliance with design documents.
Specific deliverables for each phase will be mutually agreed upon and may be elaborated in an appendix to this Agreement.
Fees and Payment
1. **Fee Structure:** The Client shall pay the Architect for the Services rendered in accordance with the following fee structure: {{fee_structure_description}} (e.g., a fixed fee of {{fixed_fee_amount}}, a percentage of the total construction cost, or an hourly rate of {{hourly_rate}} per hour).
2. **Payment Schedule:** Payments shall be made according to the following schedule:

* {{payment_percentage_3}}% upon completion of the Design Development Phase.

* Remaining balance to be paid in installments during the Construction Administration Phase, based on progress certificates, or as otherwise agreed.
3. **Invoicing:** The Architect shall submit invoices to the Client for services rendered. Invoices are due and payable within {{payment_due_days}} days of receipt.
4. **Reimbursable Expenses:** In addition to the fees, the Client shall reimburse the Architect for pre-approved project-related expenses, including but not limited to, printing, travel, and consultant fees, as outlined in an attached schedule or as mutually agreed upon. These expenses shall not exceed {{reimbursable_expenses_limit}} without prior written approval from the Client.
Client's Responsibilities
The Client shall provide the Architect with all necessary information, decisions, and approvals in a timely manner to facilitate the Architect's performance of the Services. The Client shall also:
1. Provide accurate survey information, geotechnical reports, and other necessary site data.
2. Designate a representative with the authority to act on the Client's behalf with respect to the Project.
3. Secure and pay for necessary legal, accounting, and insurance services.
Ownership of Documents
All drawings, specifications, and other documents prepared by the Architect are instruments of service and shall remain the property of the Architect. The Client shall be permitted to retain copies for information and reference in connection with the Project. These documents are not to be used by the Client for any other project or extension to this project without the Architect's prior written consent and appropriate compensation.
Termination of Agreement
Either Party may terminate this Agreement upon {{notice_period}} days' written notice if the other Party substantially fails to perform in accordance with the terms of this Agreement. In the event of termination, the Architect shall be compensated for all services rendered and reimbursable expenses incurred up to the date of termination.
Dispute Resolution
Any dispute or claim arising out of or relating to this Agreement shall be subject to negotiation between the Parties. Should negotiations fail, the Parties agree to pursue mediation with a mutually agreed-upon mediator. If mediation is unsuccessful, the dispute shall be resolved through arbitration in accordance with the laws of {{country}}.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
