COLLABORATION AGREEMENT

This Collaboration Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date")

BETWEEN:

1. {{Party_A_name}}, a company duly incorporated and registered under the laws of {{Party_A_jurisdiction}}, with its principal place of business at {{Party_A_address}} (hereinafter referred to as "Party A");

AND

2. {{Party_B_name}}, a company duly incorporated and registered under the laws of {{Party_B_jurisdiction}}, with its principal place of business at {{Party_B_address}} (hereinafter referred to as "Party B").

(Hereinafter collectively referred to as “the Parties” and individually as “Party”).

1. PURPOSE OF COLLABORATION

1.1 The Parties hereby agree to collaborate on the project/initiative described as: {{project_description}} (the “Project”).

1.2 The objective of this collaboration is to {{collaboration_objective}}.

2. SCOPE OF WORK AND RESPONSIBILITIES

2.1 Party A shall be responsible for: {{Party_A_responsibilities}}

3. TERM AND TERMINATION

3.2 Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach by the other Party.

3.3 This Agreement may be terminated by mutual written consent of both Parties.

4. INTELLECTUAL PROPERTY

4.1 All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, arising from the Project shall be {{IP_ownership_arrangement}}.

4.2 Where intellectual property is jointly owned, the Parties shall agree on the terms of its exploitation and protection in a separate agreement.

5. CONFIDENTIALITY

5.1 Each Party agrees to keep confidential all non-public information obtained from the other Party during the course of this collaboration.

5.2 This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

6.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_institution}}.

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
