CONSULTING AGREEMENT

This Consulting Agreement ("Agreement") is entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date"), by and between:

{{company_name}}, a company duly registered in accordance with the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company"); and

{{consultant_name}}, an individual/company with registration number {{consultant_registration_number}} (if applicable), residing at/with its principal place of business at {{consultant_address}} (hereinafter referred to as "the Consultant").

The Company and the Consultant are hereinafter collectively referred to as "the Parties" and individually as "the Party".

1. ENGAGEMENT OF SERVICES

1.1. The Company hereby engages the Consultant, and the Consultant hereby accepts such engagement, to provide the consulting services as more fully described in Schedule A hereto ("the Services").

1.2. The Consultant shall perform the Services diligently, professionally, and in accordance with the highest industry standards.

1.3. The Consultant shall report to {{reporting_manager_name}} or such other person as the Company may designate from time to time.

2. TERM OF AGREEMENT

2.1. This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, or until terminated earlier in accordance with the provisions of this Agreement ("the Term").

2.2. The anticipated completion date for the Services is {{completion_date}}.

3. FEES AND PAYMENT

3.1. In consideration for the Services rendered by the Consultant, the Company shall pay the Consultant a fee as set out in Schedule B hereto ("the Fees").

3.2. All invoices shall be submitted by the Consultant to the Company on a {{billing_frequency}} basis and shall be paid by the Company within {{payment_terms_days}} days of receipt of a valid invoice.

3.3. All Fees are exclusive of Value Added Tax (VAT) or any other applicable taxes, which shall be borne by the Company/Consultant as per applicable tax laws. (Choose ONE option or specify which party bears which taxes).

3.4. The Consultant shall be responsible for all their own taxes, statutory contributions, and social security payments.

4. INDEPENDENT CONTRACTOR STATUS

4.1. The Consultant is an independent contractor and nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the Parties.

4.2. The Consultant shall be solely responsible for determining the means, methods, and all other details of performing the Services.

5. CONFIDENTIALITY

5.1. The Consultant acknowledges that during the course of performing the Services, they may have access to confidential and proprietary information belonging to the Company ("Confidential Information").

5.2. The Consultant undertakes to keep all Confidential Information strictly confidential and shall not disclose such information to any third party without the prior written consent of the Company.

5.3. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

6. INTELLECTUAL PROPERTY

6.1. All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, arising from or developed during the performance of the Services by the Consultant shall be the sole and exclusive property of the Company.

6.2. The Consultant hereby assigns all such intellectual property rights to the Company and shall execute all necessary documents to perfect such assignment.

7. TERMINATION

7.1. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

7.2. The Company may terminate this Agreement immediately upon written notice if the Consultant breaches any material term of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

8. LIMITATION OF LIABILITY

8.1. To the maximum extent permitted by law, the Company's total liability to the Consultant for any and all claims arising out of or in connection with this Agreement shall not exceed the total Fees paid by the Company to the Consultant under this Agreement during the {{liability_period_months}} months preceding the event giving rise to the claim.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

9.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be resolved through negotiation in good faith between the Parties. Should such negotiation fail, the Parties agree to submit the dispute to mediation in {{mediation_city}}, {{mediation_country}} in accordance with the rules of {{mediation_body}} (if applicable).

9.3. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in {{arbitration_city}}, {{arbitration_country}} in accordance with the rules of {{arbitration_body}} (if applicable).

10. ENTIRE AGREEMENT

10.1. This Agreement, including Schedule A and Schedule B, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations, whether written or oral.

10.2. No amendment or variation of this Agreement shall be valid unless reduced to writing and signed by both Parties.
