Parties

This Contract on Retaining Legal Counsel (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{client_company_name}}, a company duly incorporated under the laws of {{country}}, with its registered office located at {{client_company_address}} (hereinafter referred to as 'the Client'); and

{{law_firm_name}}, a law firm duly constituted under the laws of {{country}}, with its principal place of business located at {{law_firm_address}} (hereinafter referred to as 'the Legal Counsel').

The Client and the Legal Counsel are hereinafter collectively referred to as 'the Parties' and individually as 'a Party'.

Appointment and Scope of Services

1.1. The Client hereby appoints the Legal Counsel to provide legal services relating to {{scope_of_work_description}} (hereinafter referred to as 'the Services').

1.2. The Legal Counsel accepts this appointment and agrees to provide the Services with due diligence, skill, and care, and in accordance with all applicable laws and ethical obligations.

1.3. The scope of Services may be expanded or narrowed from time to time upon mutual written agreement of the Parties.

Fees and Disbursements

2.1. The Client agrees to pay the Legal Counsel for the Services rendered at the agreed-upon hourly rate of {{hourly_rate}} per hour, or as per the agreed fee structure outlined in Schedule A attached hereto.

2.2. A retainer fee of {{retainer_amount}} shall be paid by the Client to the Legal Counsel upon the signing of this Agreement. This retainer fee is {{refundable/non-refundable}} and shall be applied against the initial fees incurred.

2.3. The Client shall be responsible for all reasonable disbursements incurred by the Legal Counsel in the course of providing the Services, including but not limited to filing fees, court costs, travel expenses, and expert witness fees. Such disbursements shall be itemized and presented to the Client for approval where reasonably practicable.

2.4. Invoices for fees and disbursements shall be rendered {{billing_frequency}} and are payable within {{payment_due_days}} days of the invoice date.

Confidentiality

3.1. The Legal Counsel undertakes to keep all information, documents, and communications received from the Client in connection with the Services strictly confidential, save as required by law or with the express written consent of the Client.

3.2. This confidentiality obligation shall survive the termination of this Agreement.

Termination

4.1. Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party.

4.2. In the event of termination by the Client, the Client shall remain liable for all fees and disbursements incurred up to the date of termination.

4.3. In the event of termination by the Legal Counsel, the Legal Counsel shall take all reasonable steps to protect the Client's interests and facilitate the transfer of files to new counsel.

4.4. The Legal Counsel may terminate this Agreement immediately if the Client fails to comply with any material term of this Agreement, including non-payment of fees.

Governing Law and Jurisdiction

5.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

5.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of {{arbitration_body}}.

Entire Agreement

6.1. This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties.

6.2. No amendment or variation of this Agreement shall be valid unless reduced to writing and signed by or on behalf of both Parties.
