Customer Service Agreement
This Customer Service Agreement (hereinafter referred to as 'the Agreement') is entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{service_provider_company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{service_provider_address}} (hereinafter referred to as 'the Service Provider'); and
{{customer_company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{customer_address}} (hereinafter referred to as 'the Customer').
Collectively referred to as 'the Parties'.
1. Scope of Services
1.1. The Service Provider agrees to deliver customer service to the Customer as detailed in Appendix A: Service Level Agreement (SLA), attached hereto and forming an integral part of this Agreement.
1.2. Services typically include, but are not limited to, technical support, product inquiries, issue resolution, and general customer assistance.
1.3. Any additional services requested by the Customer and agreed upon by the Service Provider shall be subject to a separate written agreement or amendment to this Agreement.
2. Service Level Agreement (SLA)
2.1. The Service Provider commits to delivering services in accordance with the service levels specified in Appendix A (SLA). This includes response times, resolution times, and availability of support channels.
2.2. The Service Provider shall use all reasonable efforts to meet the agreed-upon service levels.
3. Customer's Responsibilities
3.1. The Customer agrees to provide necessary information and cooperation to the Service Provider to facilitate the delivery of services.
3.2. The Customer shall promptly report any issues or queries to the Service Provider through the designated communication channels.
3.3. The Customer shall ensure that its employees or representatives interacting with the Service Provider adhere to professional conduct.
4. Fees and Payment
4.1. The Customer agrees to pay the Service Provider the fees as outlined in Appendix B: Fee Schedule, attached hereto and forming an integral part of this Agreement.
4.2. Invoices shall be issued by the Service Provider on a {{billing_frequency}} basis and are due for payment within {{payment_terms}} days of the invoice date.
4.3. All fees are exclusive of Value Added Tax (VAT) or any other applicable taxes, which shall be borne by the Customer.
5. Term and Termination
5.1. This Agreement shall commence on the Effective Date and continue for an initial period of {{initial_term_months}} months/years, unless terminated earlier in accordance with the provisions herein.
5.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.
5.3. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.
6. Confidentiality
6.1. Both Parties agree to keep confidential all non-public information obtained during the course of this Agreement, including but not limited to business strategies, customer data, and technical specifications.
6.2. The confidentiality obligations shall survive the termination or expiration of this Agreement.
7. Governing Law and Dispute Resolution
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
7.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, {{country}}, in accordance with the rules of the {{arbitration_body}}.
