Agreement Parties

This Legal Service Agreement (hereinafter referred to as 'Agreement') is entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a law firm/legal practice duly registered under the laws of {{country_name}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'Counsel'); and

{{client_name}}, residing at/with its principal place of business at {{client_address}} (hereinafter referred to as 'Client').

Collectively, Counsel and Client may be referred to as the 'Parties'.

Scope of Services

The Counsel agrees to provide the following legal services to the Client:

Fees and Payment

The Client agrees to pay the Counsel the following fees for the services rendered:

1. **Retainer Fee**: A non-refundable retainer fee of {{currency_symbol}}{{retainer_fee_amount}} is payable upon the signing of this Agreement. This retainer will be applied against future invoices.

2. **Hourly Rate**: The hourly rate for the Counsel's services shall be {{currency_symbol}}{{hourly_rate_amount}} per hour for {{attorney_name}}, and {{currency_symbol}}{{paralegal_rate_amount}} per hour for paralegal services. Time will be billed in {{billing_increment}}-minute increments.

4. **Disbursements and Expenses**: The Client shall be responsible for all reasonable disbursements and out-of-pocket expenses incurred by the Counsel in providing the services, including but not limited to court filing fees, expert witness fees, travel expenses, and photocopying costs. These will be billed at cost.

5. **Invoicing**: Invoices will be issued {{billing_frequency}} (e.g., monthly, bi-weekly) and are due and payable within {{payment_due_days}} days of the invoice date.

6. **Late Payments**: Interest at the rate of {{late_payment_interest_rate}}% per annum will be charged on all overdue amounts.

Client Responsibilities

The Client agrees to:

1. Provide all necessary information and documentation promptly and accurately.

2. Be truthful and cooperative with the Counsel.

3. Keep the Counsel informed of any changes in circumstances relevant to the matter.

4. Pay all fees and expenses as outlined in this Agreement.

Confidentiality

The Counsel agrees to maintain the strict confidentiality of all information provided by the Client, except as required by law or as necessary to provide the agreed-upon legal services.

Termination of Agreement

This Agreement may be terminated by either Party upon {{notice_period}} days' written notice.

Upon termination, the Client shall pay for all services rendered and expenses incurred up to the date of termination.

The Counsel may withdraw from representation if (a) the Client fails to honour the terms of this Agreement, (b) the Client insists upon pursuing an objective that the Counsel considers repugnant or imprudent, or (c) the Counsel is unable to continue the representation without violating applicable rules of professional conduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.

Entire Agreement
