SPEAKER AGREEMENT
This Speaker Agreement ('Agreement') is made and entered into this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}} ('Effective Date'), by and between:
{{organization_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{organization_address}} (hereinafter referred to as 'the Organizer');
AND
{{speaker_name}}, an individual residing at {{speaker_address}}, or a company duly incorporated under the laws of {{speaker_country_of_incorporation}}, with its principal place of business at {{speaker_address}} (hereinafter referred to as 'the Speaker').
Collectively referred to as 'the Parties'.
1. ENGAGEMENT
The Organizer hereby engages the Speaker, and the Speaker hereby accepts such engagement, to deliver a presentation/speech on the topic of '{{presentation_topic}}' (hereinafter referred to as 'the Presentation') at the {{event_name}} event, scheduled to take place on {{event_date}} at {{event_venue}}.
The estimated duration of the Presentation will be {{presentation_duration}} minutes/hours.
2. SPEAKER OBLIGATIONS
The Speaker agrees to:
a) Prepare and deliver the Presentation to a professional standard.
b) Provide the Organizer with any necessary materials, such as presentation slides or handouts, by {{materials_submission_date}}.
c) Arrive at the event venue at least {{arrival_time_before_event}} minutes prior to the scheduled Presentation time.
d) Adhere to the schedule and technical requirements provided by the Organizer.
e) Conduct themselves in a professional and courteous manner at all times.
3. ORGANIZER OBLIGATIONS
The Organizer agrees to:
a) Provide the Speaker with all necessary logistical information regarding the event, including venue details, schedule, and technical specifications.
b) Provide appropriate audio-visual equipment and technical support for the Presentation.
c) Market and promote the event, including the Speaker's participation, as mutually agreed upon.
d) Provide the agreed-upon compensation to the Speaker as set out in Clause 4.
4. COMPENSATION AND EXPENSES
In consideration for the Speaker's services, the Organizer agrees to pay the Speaker a fee of {{speaker_fee_amount}} ({{speaker_fee_currency}}) by {{payment_due_date}}.
Payment shall be made via {{payment_method}}.
The Organizer shall reimburse the Speaker for reasonable and pre-approved travel and accommodation expenses incurred in connection with the Presentation, up to a maximum of {{expense_limit_amount}} ({{expense_limit_currency}}). All expense claims must be submitted with valid receipts by {{expense_submission_date}}.
5. INTELLECTUAL PROPERTY
The Speaker retains all intellectual property rights in the content of the Presentation. The Organizer is granted a non-exclusive, royalty-free license to use, reproduce, and distribute the Presentation materials (e.g., slides, handouts) solely for the purpose of promoting and documenting the {{event_name}} event.
The Organizer may record the Presentation (audio and/or video) for internal use and/or for distribution to event attendees. The Speaker's approval for public distribution of such recordings is required and will be sought separately if desired by the Organizer.
6. CANCELLATION
a) By Organizer: If the Organizer cancels the event or the Speaker's engagement, and such cancellation occurs less than {{days_notice_organizer_cancellation}} days before the event date, the Organizer shall pay the Speaker {{percentage_of_fee_on_cancellation}}% of the agreed Speaker Fee.
b) By Speaker: If the Speaker cancels their engagement less than {{days_notice_speaker_cancellation}} days before the event date, the Speaker may be liable to reimburse the Organizer for any direct costs incurred as a result of such cancellation, unless due to unforeseen circumstances beyond the Speaker's reasonable control.
7. CONFIDENTIALITY
Both Parties agree to keep confidential all non-public information disclosed by the other Party in connection with this Agreement and the event.
8. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.
Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties. If a resolution cannot be reached, the dispute shall be submitted to mediation in {{mediation_city}}, {{mediation_country}}, in accordance with the rules of {{mediation_body}}. If mediation fails, the dispute shall be finally settled by arbitration in {{arbitration_city}}, {{arbitration_country}}, in accordance with the rules of {{arbitration_body}}.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
