AMENDMENT TO SALES CONTRACT

This Amendment No. {{amendment_number}} (hereinafter referred to as the 'Amendment') is made and entered into on this {{date_of_amendment}} day of {{month}}, {{year}},

BETWEEN:

{{seller_company_name}}, a company duly incorporated under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} (hereinafter referred to as 'the Seller');

AND

{{buyer_company_name}}, a company duly incorporated under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} (hereinafter referred to as 'the Buyer').

WHEREAS, the Seller and the Buyer previously entered into a Sales Contract dated {{original_contract_date}} (hereinafter referred to as the 'Original Contract') for the sale and purchase of {{goods_or_services_description}};

WHEREAS, the parties now desire to amend certain terms and conditions of the Original Contract as set forth herein.

ARTICLE 1: AMENDMENTS

The parties hereby agree to amend the Original Contract as follows:

1.1. Article {{article_number_1}} of the Original Contract, titled '{{original_article_title_1}}', is hereby amended to read as follows:

'{{new_article_content_1}}'

1.2. Article {{article_number_2}} of the Original Contract, titled '{{original_article_title_2}}', is hereby replaced in its entirety with the following:

'{{new_article_content_2}}'

1.3. A new Article {{new_article_number}} shall be inserted immediately after Article {{preceding_article_number}} of the Original Contract, to read as follows:

'Article {{new_article_number}}: {{new_article_title}}'

'{{new_article_content_3}}'

1.4. The following clause shall be added to Article {{amended_article_number}} of the Original Contract:

'{{added_clause_content}}'

ARTICLE 2: EFFECTIVE DATE

This Amendment shall become effective on the date of its last signature (the 'Effective Date'), notwithstanding the date upon which it was signed by either party.

ARTICLE 3: CONTINUATION OF ORIGINAL CONTRACT

Except as expressly modified by this Amendment, all other terms and conditions of the Original Contract shall remain in full force and effect and are hereby ratified and confirmed by the parties hereto.

ARTICLE 4: GOVERNING LAW

This Amendment and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

ARTICLE 5: ENTIRE AGREEMENT

This Amendment, together with the Original Contract, constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating thereto.
