Building Maintenance Agreement

This Building Maintenance Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{client_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as 'the Client'); and

{{service_provider_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{service_provider_company_address}} (hereinafter referred to as 'the Service Provider').

Hereinafter collectively referred to as 'the Parties' and individually as 'Party'.

Preamble

WHEREAS, the Client is the owner/manager of the property located at {{property_address}} (hereinafter referred to as 'the Property'); and

WHEREAS, the Client desires to engage the Service Provider to perform regular maintenance and repair services for the Property; and

WHEREAS, the Service Provider is duly qualified and capable of providing such services.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

Scope of Services

The Service Provider shall perform the maintenance services as detailed in Schedule A attached hereto and forming an integral part of this Agreement. These services may include, but are not limited to:

Routine inspections and preventative maintenance.

Repair and replacement of faulty components.

Emergency maintenance services upon request.

Maintenance of electrical systems, plumbing, HVAC, and building fabric.

The Service Provider shall provide all necessary labour, equipment, and materials to perform the services efficiently and professionally.

Term and Termination

This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_duration_years}} year(s), unless terminated earlier in accordance with the provisions of this Agreement.

Either Party may terminate this Agreement by giving {{notice_period_days}} days' written notice to the other Party in the event of a material breach of this Agreement.

Upon termination, the Client shall pay the Service Provider all outstanding fees for services rendered up to the date of termination.

Payment Terms

The Client shall pay the Service Provider a monthly fee of {{monthly_fee_currency}} {{monthly_fee_amount}} ({{monthly_fee_amount_words}}) for the services rendered.

Invoices shall be submitted by the Service Provider on or before the {{invoice_day_of_month}} day of each month and shall be payable within {{payment_due_days}} days of receipt.

Late payments shall accrue interest at a rate of {{interest_rate_percentage}}% per annum.

Obligations of the Parties

Client's Obligations:

Grant the Service Provider access to the Property at reasonable times.

Provide all necessary information and cooperation to enable the Service Provider to perform the services.

Service Provider's Obligations:

Perform the services with due care, skill, and diligence.

Comply with all applicable laws, regulations, and industry standards.

Maintain appropriate insurance coverage for its employees and operations.

Confidentiality

Both Parties agree to keep confidential all non-public information disclosed during the term of this Agreement.

This obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations. If negotiations fail, the Parties agree to refer the dispute to mediation in accordance with the rules of {{mediation_body}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
