Contract Agreement
This Construction Contract (hereinafter referred to as the 'Agreement') is made and entered into on this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}}
BETWEEN:
{{client_company_name}}, a company duly incorporated under the laws of {{country}}, with its registered office at {{client_company_address}} (hereinafter referred to as 'the Client')
AND
{{contractor_company_name}}, a company duly incorporated under the laws of {{country}}, with its registered office at {{contractor_company_address}} (hereinafter referred to as 'the Contractor').
WHEREAS, the Client desires to engage the Contractor to perform certain construction works as more fully described herein, and the Contractor is willing to undertake such works on the terms and conditions set forth in this Agreement.
Scope of Work
The Contractor shall execute, complete, and remedy any defects in the works as described in Appendix A (hereinafter referred to as the 'Works'). The Works shall include, but not be limited to, the construction of {{project_description}} at {{project_location}}.
The Contractor shall provide all necessary labour, materials, equipment, and supervision required for the proper execution and completion of the Works in accordance with the specifications and drawings provided by the Client, attached hereto as Appendix B.
Contract Price and Payment Terms
The total contract price for the completion of the Works shall be {{currency}} {{contract_price}} ({{contract_price_words}}).
Payment shall be made in installments as follows:
a) An advance payment of {{currency}} {{advance_payment}} ({{advance_payment_words}}) upon signing of this Agreement.
b) Progress payments of {{currency}} {{progress_payment_amount}} ({{progress_payment_amount_words}}) upon completion of each stage as outlined in the Project Schedule (Appendix C).
c) A final payment of {{currency}} {{final_payment_amount}} ({{final_payment_amount_words}}) upon satisfactory completion of the entire Works and issuance of the Certificate of Completion.
All payments shall be made within {{payment_days}} days of receipt of a valid invoice from the Contractor.
Project Schedule and Completion
The Contractor shall commence the Works on {{start_date}} and shall complete the Works by {{completion_date}} in accordance with the Project Schedule attached as Appendix C.
Time is of the essence in this Agreement. The Contractor shall use all reasonable endeavours to adhere to the agreed schedule. Any delays must be communicated to the Client immediately, with reasons and proposed mitigation strategies.
Site Access and Conditions
The Client shall grant the Contractor access to the site at {{project_location}} for the purpose of executing the Works. The Client shall ensure that the site is safe and accessible for the Contractor's personnel and equipment.
The Contractor shall be responsible for inspecting the site prior to commencing work and shall notify the Client of any unforeseen conditions that may affect the execution of the Works.
Warranties and Defects Liability
The Contractor warrants that the Works shall be carried out in a professional and workmanlike manner, in accordance with industry standards and the specifications set out in this Agreement.
The Contractor shall remedy any defects, shrinkages, or other faults which appear within {{defects_liability_period}} months from the date of completion of the Works, provided that such defects are due to faulty materials, workmanship, or design by the Contractor.
Insurance
The Contractor shall, at its own expense, maintain all necessary insurance policies, including but not limited to, general liability insurance, workers’ compensation insurance, and all-risk construction insurance, for the duration of the Works.
The Client shall also maintain appropriate insurance coverage for the property and materials on site.
Termination
This Agreement may be terminated by either party upon {{notice_period}} days' written notice if the other party breaches any material term of this Agreement and fails to remedy such breach within the notice period.
Upon termination, the Contractor shall be entitled to payment for work satisfactorily completed up to the date of termination.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation between the parties. If an amicable settlement cannot be reached, the dispute shall be referred to arbitration in accordance with the rules of {{arbitration_body}} in {{arbitration_city}}, {{country}}.
