Parties
This Exclusive Listing Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, By and Between: {{owner_name}}, residing at {{owner_address}} (hereinafter referred to as "Owner"); AND {{agency_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{agency_address}}, represented by {{agent_name}}, its duly authorized agent (hereinafter referred to as "Agent"). (Collectively referred to as the “Parties”).
Property Description
The Owner hereby grants the Agent the exclusive right to sell the property located at: {{property_address}} Legal Description: {{legal_description}} (Hereinafter referred to as the “Property”).
Term of Agreement
This Agreement shall commence on {{start_date}} and shall continue for a period of {{number_of_months}} ({{number_of_months_words}}) months, terminating on {{end_date}}, unless extended by mutual written agreement of both Parties.
Listing Price
The Owner hereby authorizes the Agent to offer the Property for sale at a price of {{currency}} {{listing_price}} ({{listing_price_words}}) or such other price as may be agreed upon in writing by the Owner.
Agent's Commission
In consideration for the services rendered by the Agent, the Owner agrees to pay the Agent a commission of {{commission_percentage}}% of the final sale price of the Property. This commission shall be due and payable upon the successful transfer of title of the Property to a buyer secured by the Agent, or to any buyer introduced to the Property during the term of this Agreement, or within {{protection_period}} days after the termination of this Agreement, if such buyer was introduced by the Agent during the term of this Agreement and the Owner has not entered into a new exclusive listing agreement with another agent.
Marketing and Advertising
The Agent shall, at its own expense, undertake all necessary marketing and advertising activities to promote the sale of the Property, including but not limited to, listing on multiple listing services, online platforms, open houses, and property viewings. The Owner grants the Agent permission to use photographs, videos, and other descriptive materials of the Property for marketing purposes. The Agent shall obtain the Owner's approval for all major marketing campaigns.
Owner's Obligations
The Owner agrees to: a) Provide the Agent with all necessary documentation related to the Property, including title deeds, approved plans, and any other relevant information. b) Grant the Agent and prospective buyers reasonable access to the Property for inspection and viewing. c) Not to engage any other agent to sell the Property during the term of this Agreement. d) Indemnify and hold harmless the Agent from any claims, damages, or liabilities arising from misrepresentations or omissions by the Owner regarding the Property.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country}}.
Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
