PARTIES

This Agreement is made and entered into on this {{day}} day of {{month}}, {{year}}.

BETWEEN:

{{licensor_company_name}}, a company duly incorporated in accordance with the laws of {{licensor_country}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as "the Licensor").

AND

{{licensee_company_name}}, a company duly incorporated in accordance with the laws of {{licensee_country}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as "the Licensee").

The Licensor and the Licensee shall hereinafter be referred to individually as a “Party” and collectively as the “Parties”.

RECITALS

WHEREAS the Licensor is the lawful owner or controller of the property situated at {{property_address}} (hereinafter referred to as "the Property"), as more fully described in Title Deed No. {{title_deed_number}}.

WHEREAS the Licensee desires to install, construct, and operate {{type_of_facility}} on a portion of the Property for the purpose of {{purpose_of_facility}}.

WHEREAS the Licensor is willing to grant such a license to the Licensee subject to the terms and conditions set forth in this Agreement.

GRANT OF LICENCE

The Licensor hereby grants to the Licensee a non-exclusive/exclusive license to enter upon, install, construct, and operate {{type_of_facility}} within the designated area of the Property, as more fully described in Annexure A (hereinafter referred to as "the Licensed Area").

The Licensee shall not acquire any ownership interest, leasehold interest, or other proprietary rights in or to the Property by virtue of this Agreement, save for the rights specifically granted herein.

TERM OF AGREEMENT

This Agreement shall commence on {{start_date}} and shall continue for a period of {{term_years}} ({{term_years_words}}) years, terminating automatically on {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

FEES AND PAYMENT

In consideration for the license granted herein, the Licensee shall pay to the Licensor a license fee of {{currency}} {{initial_fee_amount}} ({{initial_fee_amount_words}}) upon the signing of this Agreement.

Thereafter, the Licensee shall pay a recurring fee of {{currency}} {{recurring_fee_amount}} ({{recurring_fee_amount_words}}) {{payment_frequency}} (e.g., monthly, quarterly, annually) on or before the {{payment_due_day}} day of each {{payment_period_unit}}.

OBLIGATIONS OF THE LICENSEE

The Licensee shall obtain all necessary permits, licenses, and approvals from relevant governmental and regulatory authorities for the installation, construction, and operation of the facilities.

The Licensee shall conduct all activities on the Property in a safe and workmanlike manner, in compliance with all applicable laws, regulations, and industry standards.

The Licensee shall be solely responsible for the costs of installation, construction, maintenance, repair, and removal of its facilities.

The Licensee shall indemnify and hold harmless the Licensor from any and all claims, liabilities, damages, costs, and expenses arising from the Licensee's activities on the Property.

OBLIGATIONS OF THE LICENSOR

The Licensor shall provide unfettered access to the Licensed Area for the Licensee to carry out its Permitted Activities, subject to reasonable notice and security requirements.

The Licensor shall not interfere with the Licensee's lawful installation, construction, or operation of the facilities, provided the Licensee is in compliance with this Agreement.

TERMINATION

Either Party may terminate this Agreement by giving {{notice_period}} (e.g., 30) days' written notice to the other Party in the event of a material breach of this Agreement, provided such breach is not remedied within {{cure_period}} (e.g., 14) days of receipt of written notice specifying the breach.

Upon termination, the Licensee shall, at its own cost, remove its facilities from the Property and restore the Licensed Area to its original condition, fair wear and tear excepted, within {{restoration_period}} (e.g., 60) days of the termination date.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}}, in accordance with the rules of {{arbitration_institution}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
