SEO Services Agreement

This SEO Services Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**{{client_company_name}}** (Registration Number: {{client_registration_number}}), a company duly incorporated under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as "Client"),

AND

**{{service_provider_company_name}}** (Registration Number: {{service_provider_registration_number}}), a company duly incorporated under the laws of {{service_provider_jurisdiction}}, with its principal place of business at {{service_provider_address}} (hereinafter referred to as "Service Provider").

1. Scope of Services

The Service Provider agrees to provide the following Search Engine Optimization (SEO) services to the Client:

a) **Keyword Research & Strategy:** Identification of relevant keywords for {{client_industry}}.

b) **On-Page Optimization:** Optimization of website content, metadata, and internal linking for {{client_website_url}}.

c) **Technical SEO Audit:** Analysis and recommendations for website technical health affecting search engine rankings.

d) **Content Optimization Guidance:** Recommendations for creating and optimizing website content.

e) **Link Building Strategy:** Develop and execute a strategy for acquiring high-quality backlinks.

f) **Performance Reporting:** Monthly reports detailing progress, rankings, and traffic for the period {{start_date}} to {{end_date}}.

2. Client Responsibilities

The Client agrees to provide the Service Provider with:

a) Full access to the website’s content management system (CMS) or relevant backend for implementation.

b) FTP or hosting access, if necessary.

c) Access to website analytics data (e.g., Google Analytics, Google Search Console).

d) Timely feedback and approvals on proposed strategies and content.

e) All necessary business information, products/services details, and marketing goals relevant to the SEO campaign.

3. Payment Terms

a) The Client shall pay the Service Provider a total fee of **{{total_fee_currency}} {{total_fee_amount}}** for the services rendered.

b) An initial upfront payment of **{{upfront_payment_currency}} {{upfront_payment_amount}}** shall be due upon the signing of this Agreement.

e) All fees are exclusive of VAT, which shall be added at the prevailing rate if applicable.

4. Term and Termination

a) This Agreement shall commence on {{start_date}} and continue for an initial period of {{initial_term_months}} months, unless terminated earlier in accordance with this Agreement.

b) Either party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other party.

c) In the event of material breach of this Agreement by either party, the non-breaching party may terminate this Agreement immediately upon written notice.

5. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential and shall not disclose it to any third party without prior written consent, except where required by law.

6. Limitation of Liability

The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the services. The total liability of the Service Provider under this Agreement shall not exceed the total fees paid by the Client to the Service Provider under this Agreement.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{governing_country}}.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
