SOFTWARE DEVELOPMENT AND PUBLISHING AGREEMENT

This Software Development and Publishing Agreement (the "Agreement") is made and entered into as of {{effective_date}} (the "Effective Date")

BETWEEN:

{{developer_company_name}}, a company duly incorporated under the laws of {{developer_jurisdiction}}, with its registered office located at {{developer_address}} (hereinafter referred to as "Developer");

AND

{{publisher_company_name}}, a company duly incorporated under the laws of {{publisher_jurisdiction}}, with its registered office located at {{publisher_address}} (hereinafter referred to as "Publisher").

Developer and Publisher are hereinafter collectively referred to as the "Parties" and individually as a "Party".

1. DEVELOPMENT SERVICES

1.1. Developer shall develop the software product described in Schedule A (the "Software") in accordance with the specifications and milestones set forth therein.

1.2. Developer shall deliver the Software to Publisher by the dates specified in Schedule A.

1.3. Developer shall use its best efforts to ensure that the Software is free from defects and errors and performs in accordance with the specifications.

2. LICENCE GRANT

2.1. Upon successful completion and acceptance of the Software, Developer hereby grants to Publisher an exclusive, worldwide, royalty-bearing licence to market, distribute, and sublicense the Software to end-users.

2.2. The licence granted under this Agreement shall commence on the date of acceptance of the Software and shall continue for a period of {{licence_term_years}} years, renewable upon mutual agreement of the Parties.

2.3. Publisher shall have the right to use Developer's trademarks and logos in connection with the marketing and distribution of the Software, subject to Developer's prior written approval.

3. CONSIDERATION AND PAYMENT

3.1. In consideration for the development services and the licence granted, Publisher shall pay Developer a development fee of {{currency}}{{development_fee_amount}} as per the payment schedule in Schedule B.

3.2. In addition to the development fee, Publisher shall pay Developer a royalty of {{royalty_percentage}}% of the net revenues generated from the sale and sublicensing of the Software.

3.3. Payments shall be made within {{payment_days}} days of the end of each calendar quarter. Publisher shall provide Developer with detailed sales reports quarterly.

4. INTELLECTUAL PROPERTY

4.1. All intellectual property rights in the Software, including but not limited to copyrights, patents, and trade secrets, shall remain vested in the Developer.

4.2. Publisher acknowledges that it acquires no ownership rights in the Software, only a licence to market, distribute, and sublicense the Software as explicitly granted herein.

4.3. Each Party agrees to promptly notify the other Party of any infringement of the intellectual property rights in the Software that comes to its attention.

5. WARRANTIES AND INDEMNIFICATION

5.1. Developer warrants that it has the full right and authority to enter into this Agreement and to grant the licences herein.

5.2. Developer warrants that the Software will not infringe any third-party intellectual property rights.

5.3. Each Party shall indemnify and hold harmless the other Party from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of its representations or warranties under this Agreement.

6. CONFIDENTIALITY

6.1. Each Party agrees to keep confidential all non-public information disclosed by the other Party, including but not limited to technical, business, and financial information.

6.2. This confidentiality obligation shall survive the termination or expiration of this Agreement for a period of {{confidentiality_period_years}} years.

7. TERMINATION

7.1. Either Party may terminate this Agreement upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.

7.2. Upon termination, Publisher shall cease all marketing and distribution of the Software and shall return or destroy all copies of the Software and related documentation.

7.3. Termination of this Agreement shall not relieve either Party of any obligations accrued prior to termination.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

8.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be settled by negotiation between the Parties.

8.3. If the Parties are unable to resolve the dispute through negotiation within {{negotiation_period_days}} days, the dispute shall be referred to arbitration in accordance with the rules of {{arbitration_institution}}.
