Web Content Partnership Agreement

This Web Content Partnership Agreement (the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} (the 'Effective Date'), by and between:

{{partner1_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{partner1_address}} (hereinafter referred to as 'Partner 1'); and

{{partner2_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{partner2_address}} (hereinafter referred to as 'Partner 2').

Partner 1 and Partner 2 are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.

Preamble

WHEREAS, Partner 1 is engaged in the business of {{partner1_business_description}} and possesses expertise in {{partner1_expertise}};

WHEREAS, Partner 2 is engaged in the business of {{partner2_business_description}} and possesses expertise in {{partner2_expertise}};

WHEREAS, the Parties desire to collaborate on the creation, promotion, and/or sharing of web content as further detailed herein (the 'Collaboration');

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Purpose of Collaboration

The primary purpose of this Collaboration is to {{purpose_of_collaboration}}. This may include, but is not limited to, the joint development of articles, blog posts, videos, infographics, or other digital content for publication on {{platform_name}}.

2. Scope of Work

2.1. Content Creation and Contribution: Each Party shall be responsible for {{content_creation_responsibilities}}.

2.2. Content Review and Approval: All content produced under this Agreement shall be subject to mutual review and approval by both Parties. The approval process shall be as follows: {{content_approval_process}}.

2.3. Publication and Distribution: The Parties agree on the following publication and distribution strategy: {{publication_strategy}}.

2.4. Promotion: Each Party shall endeavor to promote the jointly created or shared content through their respective channels, including {{promotion_channels}}.

3. Ownership and Intellectual Property

3.1. Ownership of Joint Content: The Parties acknowledge and agree that all intellectual property rights, including copyrights, in any content jointly created under this Agreement shall be {{ownership_of_joint_content}}.

3.2. Existing Content: Each Party retains all rights, title, and interest in and to its pre-existing intellectual property and content contributed to the Collaboration. Nothing in this Agreement shall be construed as a transfer of ownership of such pre-existing intellectual property.

3.3. Licensing: Where applicable, the Parties grant each other a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the jointly created content for the duration of this Agreement for the purposes of the Collaboration.

4. Revenue Sharing (Optional)

If the Collaboration is expected to generate revenue, the Parties agree to share such revenue in the following manner: {{revenue_sharing_details}}. Revenue will be calculated based on {{revenue_calculation_method}} and distributed {{frequency_of_distribution}}.

5. Term and Termination

5.1. Term: This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} unless terminated earlier in accordance with the provisions of this Agreement.

5.2. Termination: Either Party may terminate this Agreement by providing {{notice_period}} written notice to the other Party. This Agreement may also be terminated immediately by either Party upon a material breach of this Agreement by the other Party, if such breach is not cured within {{cure_period}} days of written notice.

6. Confidentiality

Each Party agrees to keep confidential all non-public information disclosed by the other Party during the course of this Agreement. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement shall be resolved through {{dispute_resolution_method}}, such as negotiation, mediation, or arbitration in {{city}}, {{country}}.
