Parties
This Mutual Non-Disclosure Agreement ("Agreement") is entered into on {{effective_date}} between {{party_a_name}}, of {{party_a_address}} ("Party A"), and {{party_b_name}}, of {{party_b_address}} ("Party B"). Each may be a Discloser and/or Recipient of Confidential Information.
1. Definition of Confidential Information
"Confidential Information" means any non-public information disclosed in any form, marked or reasonably understood to be confidential, including business plans, customer data, source code, designs, financials and personnel data.
2. Obligations
- Use Confidential Information solely to evaluate or perform the Purpose.
- Protect with at least the same standard as own confidential information, never less than reasonable care.
- Limit disclosure to personnel with a need to know who are bound by equivalent obligations.
- Not reverse-engineer, decompile or derive trade secrets.
3. Exclusions
- Information already known without obligation
- Independently developed without use of Confidential Information
- Lawfully received from a third party without restriction
- Public domain through no breach by Recipient
4. Term
Obligations endure for {{term_years}} years from the date of disclosure. Obligations relating to trade secrets continue for so long as they remain trade secrets.
5. Return or Destruction
Upon written request, Recipient will return or destroy all Confidential Information and certify destruction within {{return_days}} days.
6. Remedies
The parties acknowledge that monetary damages may be insufficient and that injunctive relief is an appropriate remedy for breach, without waiving any other rights.
Governing Law & Jurisdiction
This document is governed by the laws of {{jurisdiction}} and any disputes will be resolved in the competent courts of that jurisdiction. Where local statute or collective agreement provides more favourable terms to the employee, those terms prevail.
Confidentiality & Data Protection
All personal data captured under this document is processed in accordance with {{company_name}}'s Data Protection & Privacy Policy and applicable data-protection legislation (including GDPR/UK GDPR where relevant). Records are retained for {{retention_period}} and accessed only on a need-to-know basis.
