AGREEMENT FOR INFLUENCER MARKETING SERVICES

This Agreement for Influencer Marketing Services ('Agreement') is entered into on this {{date_of_agreement}} by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'the Company'); and

{{influencer_name}}, an individual residing at {{influencer_address}}, with Instagram username {{instagram_handle}} (hereinafter referred to as 'the Influencer').

Collectively referred to as 'the Parties'.

1. ENGAGEMENT AND SCOPE OF SERVICES

1.1. The Company hereby engages the Influencer to provide influencer marketing services on the Instagram platform in accordance with the terms of this Agreement.

1.2. The Influencer agrees to create and publish content promoting the Company's product/service, {{product_service_description}}, as per the campaign brief attached hereto as Schedule A.

1.3. Specific deliverables include, but are not limited to: {{number_of_posts}} Instagram posts, {{number_of_stories}} Instagram stories, {{number_of_reels}} Instagram Reels, and {{number_of_lives}} Instagram Live sessions.

1.4. The content must be original, authentic, and align with the brand guidelines provided by the Company.

2. CAMPAIGN PERIOD

2.1. The campaign shall commence on {{start_date}} and conclude on {{end_date}} ('Campaign Period').

2.2. All content specified in Section 1 must be published within the Campaign Period.

3. PAYMENT AND COMPENSATION

3.1. In consideration for the services rendered by the Influencer, the Company shall pay the Influencer a total fee of {{payment_amount}} ({{currency}}).

3.2. Payment shall be made as follows: {{percentage_upfront}}% upfront upon signing of this Agreement, and the remaining {{percentage_on_completion}}% upon successful completion of all deliverables and Company approval.

3.3. Payment will be made via {{payment_method}} to {{influencer_bank_details}}. The Influencer shall provide an invoice for each payment instalment.

4. INTELLECTUAL PROPERTY

4.1. The Influencer grants the Company a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, adapt, publish, and distribute the content created by the Influencer for the purpose of this campaign across the Company’s marketing channels.

4.2. All original content created by the Influencer remains the intellectual property of the Influencer, subject to the licence granted in Clause 4.1.

5. DISCLOSURE AND COMPLIANCE

5.1. The Influencer shall clearly and conspicuously disclose the sponsored nature of the content in accordance with relevant advertising standards and consumer protection laws in {{country}}, including but not limited to using hashtags such as #ad, #sponsored, or #partner.

5.2. The Influencer warrants that the content will not contain any false, misleading, or deceptive information, nor will it infringe upon the rights of any third party.

6. TERMINATION

6.1. Either Party may terminate this Agreement with {{notice_period}} days' written notice.

6.2. The Company may terminate this Agreement immediately if the Influencer breaches any material term of this Agreement, including but not limited to non-compliance with disclosure requirements or brand guidelines.

6.3. In the event of termination, the Parties' rights and obligations concerning payments for services rendered up to the termination date, and intellectual property rights, shall survive.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.
