Building Maintenance Agreement
Parties
This Building Maintenance Agreement ("Agreement") is entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{client_company_name}}, a company duly registered under the laws of {{client_company_jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "the Client").
AND
{{service_provider_company_name}}, a company duly registered under the laws of {{service_provider_company_jurisdiction}}, with its principal place of business at {{service_provider_company_address}} (hereinafter referred to as "the Service Provider").
Scope of Services
The Service Provider agrees to perform the following maintenance services for the Client at the property located at {{property_address}} ("the Property"):

* {{service_item_2}}: {{service_description_2}}
* {{service_item_3}}: {{service_description_3}}
The specific details, frequency, and standards of these services are further elaborated in Schedule A, attached hereto and forming an integral part of this Agreement. Any additional services requested by the Client outside the scope defined herein shall be subject to a separate agreement and additional charges.
Term and Termination
This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_term_duration}} (e.g., one year, six months), unless terminated earlier in accordance with the provisions of this section.
Either party may terminate this Agreement by providing {{notice_period}} (e.g., 30 days) written notice to the other party. In the event of a material breach of this Agreement by either party, the non-breaching party may terminate this Agreement immediately upon written notice, provided that the breaching party fails to cure such breach within {{cure_period}} (e.g., 14 days) of receiving written notice thereof.
Payment Terms
The Client agrees to pay the Service Provider a total fee of {{total_agreement_fee}} ({{currency}}) for the services rendered under this Agreement. Payment shall be made in {{number_of_installments}} installments of {{installment_amount}} ({{currency}}) each, due on the {{payment_due_day}} of each {{payment_frequency}} (e.g., month, quarter).
All payments shall be made via {{payment_method}} to the account specified by the Service Provider. In the event of late payment, interest may be charged at a rate of {{interest_rate}}% per annum, compounded {{compounding_frequency}} (e.g., monthly).
Client's Responsibilities
The Client shall:
* Provide the Service Provider with reasonable access to the Property to perform the agreed-upon services.
* Ensure that all necessary utilities (e.g., water, electricity) are available at the Property for the Service Provider's use.
* Communicate any specific requirements, concerns, or requests regarding the maintenance services in a timely manner.
* Make payments in accordance with the agreed-upon payment schedule.
Service Provider's Responsibilities
The Service Provider shall:
* Perform all services diligently, professionally, and in a workmanlike manner, in accordance with industry standards.
* Employ suitably qualified and experienced personnel to carry out the maintenance tasks.
* Comply with all applicable health, safety, and environmental regulations.
* Maintain appropriate insurance coverage for its operations and personnel.
Confidentiality
Both parties agree to treat all information obtained during the course of this Agreement as confidential and shall not disclose such information to any third party without the prior written consent of the other party, except as required by law.
Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to any breach of this Agreement or any negligent or willful act or omission of the indemnifying party or its employees or agents.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}} (e.g., South Africa).
Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, the parties agree to escalate the dispute to mediation in accordance with the rules of {{mediation_body}} (e.g., Arbitration Foundation of Southern Africa). If mediation fails, the dispute shall be submitted to arbitration in accordance with the rules of {{arbitration_body}} (e.g., Arbitration Foundation of Southern Africa). The decision of the arbitrator(s) shall be final and binding on both parties.
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
