Parties

This Data License Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_country}}, with its principal place of business at {{licensor_address}} ("Licensor"); and

{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_country}}, with its principal place of business at {{licensee_address}} ("Licensee").

Licensor and Licensee may be referred to individually as a "Party" and collectively as the "Parties."

Recitals

WHEREAS, Licensor owns or has the right to license certain data as described herein ("Data"); and

WHEREAS, Licensee wishes to obtain a license to use the Data for its internal business purposes, subject to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

Grant of License

1.1. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, revocable license to access, use, and process the Data solely for the following permitted purposes: {{permitted_purposes}}.

1.2. The Data subject to this Agreement is specifically defined as: {{data_description}}. (e.g., customer demographics, sales figures from Q1 2023, anonymized sensor data from Project X).

1.3. This license does not include the right to {{prohibited_uses}} (e.g., sublicense, sell, distribute, or publicly display the Data, or use the Data for competitive analysis against Licensor).

Data Delivery and Access

2.1. The Data will be delivered to Licensee in the following format: {{data_format}} (e.g., CSV, JSON, API access).

2.2. The Data will be made available to Licensee via {{delivery_method}} (e.g., secure FTP, dedicated API endpoint, cloud storage link).

2.3. Licensee shall be responsible for ensuring it has the necessary technical infrastructure to access and utilize the Data.

License Fees and Payment

3.2. All payments shall be made in {{currency}} to the bank account specified by Licensor, or as otherwise agreed in writing.

Data Protection and Security

4.1. Licensee acknowledges and agrees that it will implement appropriate technical and organizational measures to protect the Data from unauthorized access, loss, destruction, alteration, or disclosure.

4.2. Licensee shall comply with all applicable data protection laws and regulations, including but not limited to {{relevant_data_protection_laws}} (e.g., GDPR, POPIA, NDPR) when handling the Data.

4.3. In the event of a data breach involving the Data, Licensee shall notify Licensor within {{notification_period}} hours of becoming aware of such breach.

Term and Termination

5.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} (e.g., 1 year, perpetual, until project completion), unless terminated earlier in accordance with the provisions herein.

5.2. Either Party may terminate this Agreement upon {{notice_period}} days' written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within the notice period.

5.3. Upon termination, Licensee shall immediately cease all use of the Data and, at Licensor's option, return or securely destroy all copies of the Data and provide written certification of such destruction.

Warranties and Disclaimers

6.1. Licensor warrants that it has the necessary rights and authority to grant the license contemplated herein.

6.2. THE DATA IS PROVIDED "AS IS" AND LICENSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE DATA, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

6.3. Licensor does not warrant that the Data will be error-free or uninterrupted.

Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}.

7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by {{dispute_resolution_method}} (e.g., arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), or exclusively by the courts of {{city}}, {{country}}).

Confidentiality

8.1. Both Parties agree to keep confidential all non-public information disclosed by the other Party in connection with this Agreement, including but not limited to the terms of this Agreement and any proprietary information contained within the Data.

8.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
