Parties to the Agreement

This Data Sharing Agreement (“Agreement”) is made and entered into on {{date_of_agreement}}

BETWEEN:

{{Party_A_Company_Name}} (Registration Number: {{Party_A_Reg_Number}}), a company duly incorporated under the laws of {{Party_A_Jurisdiction}}, with its principal place of business at {{Party_A_Address}} (hereinafter referred to as “Party A”)

AND

{{Party_B_Company_Name}} (Registration Number: {{Party_B_Reg_Number}}), a company duly incorporated under the laws of {{Party_B_Jurisdiction}}, with its principal place of business at {{Party_B_Address}} (hereinafter referred to as “Party B”)

Each a “Party” and collectively the “Parties”.

Purpose of Data Sharing

The Parties agree to share data in accordance with the terms of this Agreement for the sole purpose of {{purpose_of_data_sharing}}. This purpose includes, but is not limited to, {{specific_activities}}.

Any use of the shared data for purposes other than those explicitly stated herein is strictly prohibited unless formally agreed upon in writing by both Parties.

Description of Data to be Shared

The data to be shared under this Agreement includes, but is not limited to, the following categories: {{data_categories}}.

Specific data fields or datasets involved are detailed in Schedule A: Data Specification, attached hereto and forming an integral part of this Agreement.

Data Protection and Confidentiality

Each Party agrees to process the shared data in compliance with all applicable data protection laws and regulations in {{jurisdiction}}, including but not limited to the {{relevant_data_protection_act_or_regulation}}.

The Parties shall implement and maintain appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including measures to prevent unauthorized or unlawful processing of personal data and against accidental loss, destruction or damage.

All shared data shall be treated as confidential and shall not be disclosed to any third party without the prior written consent of the Disclosing Party, except as required by law.

Roles and Responsibilities

Party A shall be responsible for {{Party_A_responsibilities_data_sharing}}.

Party B shall be responsible for {{Party_B_responsibilities_data_sharing}}.

Each Party designates {{data_protection_officer_name_A}} as their Data Protection Officer/responsible person for data sharing matters, contactable at {{data_protection_officer_contact_A}} and {{data_protection_officer_name_B}} at {{data_protection_officer_contact_B}} respectively.

Data Retention and Deletion

Shared data shall be retained only for as long as is necessary to fulfill the stated purpose of this Agreement, or as required by applicable law, whichever is longer.

Upon expiration or termination of this Agreement, or when the data is no longer necessary for the agreed purpose, each Party shall {{data_handling_instruction_upon_termination_or_no_longer_needed}} (e.g., securely delete, return, or anonymize) all shared data, and provide written certification of such action to the other Party within {{number_of_days}} days.

Liability and Indemnification

Each Party shall be liable for any breach of this Agreement caused by its own actions or omissions, or those of its employees or agents. Each Party agrees to indemnify and hold harmless the other Party from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from any breach of this Agreement by the indemnifying Party.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_institution}}.

Term and Termination

This Agreement shall commence on {{start_date}} and continue until {{end_date}} or until the purpose of data sharing has been fulfilled, unless terminated earlier in accordance with the provisions of this Agreement.
