Domain Name Registration Agreement

This Domain Name Registration Agreement (hereinafter referred to as 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{client_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as 'Client'),

AND

{{provider_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{provider_company_address}} (hereinafter referred to as 'Provider').

Collectively referred to as 'Parties' and individually as 'Party'.

1. Purpose of Agreement

The Client hereby engages the Provider to register and manage the domain name(s) specified in Schedule A (hereinafter referred to as the 'Domain Name') on behalf of the Client, in accordance with the terms and conditions set forth in this Agreement.

2. Domain Name Details and Registration

2.1. The Domain Name(s) to be registered are as follows: {{domain_name_list}}.

2.2. The Provider shall facilitate the registration of the Domain Name(s) with the appropriate domain name registrar (e.g., ICANN-accredited registrar).

2.3. The Client acknowledges that the registration of domain names is subject to the policies and procedures of the relevant registrar and the governing domain name authorities, and the Provider shall not be held liable for any refusal of registration.

3. Client's Obligations

3.1. The Client shall provide all necessary and accurate information required for the registration of the Domain Name(s), including administrative, technical, and billing contact details.

3.2. The Client warrants that the registration and use of the Domain Name(s) will not infringe upon the intellectual property rights of any third party.

3.3. The Client shall promptly notify the Provider of any changes to the information provided for registration.

4. Provider's Obligations

4.1. The Provider shall use commercially reasonable efforts to register the Domain Name(s) as requested by the Client.

4.2. The Provider shall manage the Domain Name(s) for the duration of this Agreement, including timely renewals, unless otherwise instructed by the Client.

4.3. The Provider shall maintain the confidentiality of the Client's information, except as required for domain registration or by law.

5. Fees and Payment

5.1. The Client shall pay the Provider the registration and annual renewal fees as outlined in Schedule B ('Fee Schedule').

5.2. All fees are quoted in {{currency}} and are exclusive of any applicable taxes.

5.3. Payment shall be made by {{payment_method}} within {{payment_due_days}} days of invoice receipt.

6. Term and Termination

6.1. This Agreement shall commence on the date first written above and shall continue for an initial term of {{initial_term_years}} year(s), automatically renewing for subsequent {{renewal_term_years}} year(s) periods unless terminated earlier.

6.2. Either Party may terminate this Agreement by giving {{notice_days}} days' written notice to the other Party.

7. Limitation of Liability

7.1. The Provider shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the registration or use of the Domain Name(s), including but not limited to loss of data, profits, or business interruption.

7.2. The Provider's total liability under this Agreement shall not exceed the total fees paid by the Client to the Provider in the twelve (12) months preceding the claim.

8. Governing Law and Dispute Resolution

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

8.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

9. Entire Agreement

This Agreement, including its Schedules, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
