EFFECTIVE DATE
This End User License Agreement (EULA) is effective as of {{effective_date}}.
GRANT OF LICENSE
Subject to the terms and conditions of this EULA, {{company_name}} (the "Licensor") hereby grants to you, the end-user ("Licensee"), a non-exclusive, non-transferable, revocable, limited license to install and use the software application named {{software_name}} (the "Software") for your personal or internal business use, strictly in accordance with the terms and conditions of this Agreement.
RESTRICTIONS ON USE
The Licensee shall not, directly or indirectly:
a. Modify, adapt, translate, or create derivative works based on the Software.
b. Rent, lease, sublicense, sell, assign, or otherwise transfer rights in the Software.
c. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.
d. Remove or alter any proprietary notices or labels on the Software.
e. Use the Software for any unlawful purpose or in any way that violates this EULA.
INTELLECTUAL PROPERTY
The Software, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights associated therewith, is and shall remain the sole and exclusive property of the Licensor. This EULA does not grant you any ownership rights to the Software.
TERM AND TERMINATION
This EULA shall commence upon the date of installation or first use of the Software by the Licensee and shall continue until terminated. The Licensor may terminate this EULA immediately without prior notice if the Licensee fails to comply with any term or condition of this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies of the Software in its possession.
WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
LIMITATION OF LIABILITY
IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR THE LIKE) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of {{jurisdiction_country}}, without regard to its conflict of law principles. Any legal action or proceeding arising under this EULA will be brought exclusively in the courts located in {{jurisdiction_city}}, {{jurisdiction_country}}.
ENTIRE AGREEMENT
This EULA constitutes the entire agreement between the Licensee and the Licensor regarding the use of the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
