Parties
This Hotel Management Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{owner_company_name}}, a company duly incorporated under the laws of {{owner_jurisdiction}}, with its principal place of business at {{owner_address}} (hereinafter referred to as "Owner"), and
{{management_company_name}}, a company duly incorporated under the laws of {{management_jurisdiction}}, with its principal place of business at {{management_address}} (hereinafter referred to as "Manager").
Owner and Manager are hereinafter collectively referred to as the "Parties" and individually as a "Party."
Appointment of Manager
The Owner hereby appoints the Manager, and the Manager hereby accepts such appointment, to manage, operate, and maintain the hotel property located at {{hotel_address}} (hereinafter referred to as the "Hotel") in accordance with the terms and conditions set forth in this Agreement.
The Manager shall have the exclusive right to manage and operate the Hotel during the Term of this Agreement.
Term of Agreement
This Agreement shall commence on {{start_date}} and shall continue for a period of {{term_years}} ({{term_years_words}}) years, unless terminated earlier in accordance with the provisions of this Agreement. (hereinafter referred to as the "Term")
Upon expiration of the initial Term, this Agreement may be renewed for successive periods of {{renewal_period}} ({{renewal_period_words}}) years upon mutual written agreement of both Parties.
Manager's Responsibilities
The Manager shall be responsible for all aspects of the day-to-day operation of the Hotel, including but not limited to:
a) Marketing, sales, and public relations.
b) Guest services, including reservations, check-in, and check-out.
c) Human resources, including recruitment, training, and supervision of Hotel staff.
d) Maintenance and upkeep of the Hotel property and facilities.
e) Financial management, including budgeting, accounting, and reporting.
f) Compliance with all applicable laws, regulations, and permits.
Owner's Responsibilities
The Owner shall be responsible for:
a) Providing the Manager with all necessary information and documentation related to the Hotel.
b) Approving annual budgets and capital expenditure plans proposed by the Manager.
c) Funding all approved capital expenditure projects.
d) Maintaining appropriate insurance coverage for the Hotel property.
e) Complying with all obligations as stipulated in this Agreement.
Management Fees and Other Payments
In consideration for the services rendered by the Manager, the Owner shall pay the Manager a base management fee equal to {{base_fee_percentage}}% of the Gross Revenue of the Hotel, payable monthly.
Additionally, the Manager shall be entitled to an incentive fee equal to {{incentive_fee_percentage}}% of the Gross Operating Profit of the Hotel, payable quarterly.
All payments shall be made in {{currency}} to the Manager's designated bank account within {{payment_days}} days of receiving an invoice.
Reporting and Accounting
The Manager shall maintain accurate and complete books and records of all financial transactions related to the Hotel, in accordance with generally accepted accounting principles.
The Manager shall provide the Owner with monthly financial statements, including profit and loss statements, balance sheets, and cash flow statements, within {{reporting_days}} days of the end of each month.
An annual audited financial report shall be provided to the Owner within {{annual_report_days}} days of the end of each fiscal year.
Termination
This Agreement may be terminated by either Party upon {{notice_period_days}} days' written notice in the event of a material breach of this Agreement by the other Party, which breach is not cured within {{cure_period_days}} days of receiving written notice thereof.
This Agreement may also be terminated by mutual written agreement of the Parties.
Upon termination, the Manager shall hand over all Hotel assets, records, and keys to the Owner in an orderly manner.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiations between the Parties.
If the dispute cannot be resolved through negotiations, it shall be referred to arbitration in {{arbitration_city}}, in accordance with the rules of the {{arbitration_institution}}.
Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
Any amendment or modification to this Agreement must be in writing and signed by both Parties.
