MULTI-USER LICENSE AGREEMENT
This Multi-User License Agreement ('Agreement') is made and entered into on this {{date_of_agreement}} day of {{month}}, {{year}}, by and between:
{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as 'Licensor'); and
{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as 'Licensee').
Collectively, Licensor and Licensee may be referred to as 'Parties' and individually as 'Party'.
1. DEFINITIONS
1.1. 'Software' refers to the proprietary software product(s) developed and owned by the Licensor, as specified in Schedule A, including all related documentation, updates, and upgrades.
1.2. 'Licensed Users' refers to the specific number of individuals within the Licensee's organisation authorised to access and use the Software, as stipulated in Section 3 of this Agreement.
1.3. 'Effective Date' refers to the date specified in the preamble of this Agreement.
2. GRANT OF LICENSE
2.1. Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, non-transferable, revocable right to use the Software for its internal business purposes during the Term of this Agreement.
2.2. The Licensee is granted the right to allow up to {{number_of_licensed_users}} Licensed Users to access and use the Software simultaneously. Any breach of this user limit shall be considered a material breach of this Agreement.
2.3. The Licensee shall ensure that all Licensed Users comply with the terms of this Agreement.
3. LICENSE FEES AND PAYMENT
3.1. The Licensee shall pay the Licensor a license fee of {{currency}} {{license_fee_amount}} ({{license_fee_amount_words}}) per annum/month, payable on or before {{payment_due_date}} of each period.
3.2. All fees are exclusive of value-added tax (VAT) or any other applicable taxes, which shall be borne by the Licensee.
3.3. In the event of late payment, the Licensor reserves the right to charge interest at the rate of {{interest_rate}}% per month on the overdue amount.
4. INTELLECTUAL PROPERTY RIGHTS
4.1. All intellectual property rights in and to the Software, including but not limited to copyrights, patents, trademarks, and trade secrets, remain the sole and exclusive property of the Licensor.
4.2. This Agreement does not grant the Licensee any ownership rights to the Software. The Licensee acknowledges that it obtains only a limited license to use the Software as expressly provided herein.
5. TERM AND TERMINATION
5.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} years/months ('Term'), unless terminated earlier in accordance with the provisions of this Agreement.
5.2. Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach of any term or condition of this Agreement by the other Party, provided such breach is not remedied within the notice period.
5.3. Upon termination of this Agreement, the Licensee shall immediately cease all use of the Software and shall return or destroy all copies of the Software and related documentation.
6. CONFIDENTIALITY
6.1. Both Parties agree to keep confidential all non-public information disclosed by the other Party in connection with this Agreement ('Confidential Information').
6.2. Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing Party, except as required by law.
6.3. The obligations of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
7. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
7.1. The Software is provided 'as is' without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2. To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Software; (b) any conduct or content of any third party on the Software.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
8.2. Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in accordance with the rules of {{mediation_body}}. If mediation is unsuccessful, the dispute shall be referred to arbitration in accordance with the rules of {{arbitration_body}}.
9. GENERAL PROVISIONS
9.1. Entire Agreement: This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
9.2. Amendments: No modification or amendment of any provision of this Agreement shall be effective unless in writing and signed by both Parties.
9.3. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.4. Notices: All notices and communications under this Agreement shall be in writing and shall be deemed to have been duly given when delivered by hand, sent by registered mail, or by email to the addresses specified in this Agreement.
