1. Purpose and Scope

This Manufacturing Quality Agreement (hereinafter referred to as the 'Agreement') defines the responsibilities of {{manufacturer_name}} (hereinafter referred to as the 'Manufacturer') and {{client_name}} (hereinafter referred to as the 'Client') regarding the quality assurance, quality control, and testing of products manufactured by the Manufacturer for the Client. This Agreement applies to all products and services specified in the Supply Agreement dated {{supply_agreement_date}}.

2. Definitions

For the purpose of this Agreement, the following definitions shall apply:

- **Product:** Refers to the goods and/or services specified in the Supply Agreement.

- **Quality Management System (QMS):** The Manufacturer's system for directing and controlling an organization with regard to quality.

- **Specification:** Detailed requirements for the Product, agreed upon by both parties.

3. Manufacturer's Responsibilities

The Manufacturer shall:

- Maintain a robust and documented Quality Management System (QMS) in accordance with agreed-upon international standards (e.g., ISO {{iso_standard}}).

- Ensure that all personnel involved in the manufacturing process are adequately trained and qualified.

- Adhere strictly to the agreed-upon Product Specifications and manufacturing processes.

- Implement and maintain appropriate in-process and final product quality control measures.

- Provide Certificates of Analysis (CoA) or Certificates of Conformance (CoC) as required for each batch of Product delivered.

- Implement an effective change control system for any modifications to the Product, process, or materials, ensuring Client approval prior to implementation.

4. Client's Responsibilities

The Client shall:

- Provide clear and comprehensive Product Specifications to the Manufacturer.

- Timely communicate any changes or updates to Product Specifications.

- Conduct timely review and approval of proposed changes from the Manufacturer.

- Provide necessary technical support and information to the Manufacturer to facilitate compliance with quality requirements.

5. Documentation and Record Keeping

The Manufacturer shall maintain complete and accurate records pertaining to the manufacturing, quality control, and testing of the Products for a period of not less than {{retention_period}} years. These records shall be made available to the Client upon reasonable request.

6. Audits and Inspections

The Client shall have the right, upon reasonable prior notice (e.g., {{notice_days}} days), to conduct audits and inspections of the Manufacturer's facilities, QMS, and relevant records to ensure compliance with this Agreement. The Manufacturer shall cooperate fully with such audits and inspections.

7. Non-Conformances and Corrective Actions

In the event of a non-conformance with Product Specifications or any other quality requirement, the Manufacturer shall promptly notify the Client within {{notification_hours}} hours of identification. The Manufacturer shall conduct a thorough investigation, identify the root cause, and implement appropriate corrective and preventative actions (CAPA) in consultation with the Client. All non-conforming products shall be quarantined and clearly identified.

8. Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the parties. If an amicable resolution cannot be reached within {{negotiation_days}} days, the dispute shall be referred to mediation or, failing that, to arbitration in accordance with the laws of {{country}}.

9. Confidentiality

Both parties agree to treat as confidential all proprietary and confidential information disclosed by the other party in connection with this Agreement. This obligation shall survive the termination of this Agreement for a period of {{confidentiality_years}} years.

10. Governing Law
