MERCHANDISING AND MARKETING AGREEMENT

This Merchandising and Marketing Agreement ("Agreement") is made and entered into as of {{date_of_agreement}}

BETWEEN:

{{company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "The Company");

AND

{{merchandiser_name}}, a company/individual duly incorporated/residing under the laws of {{country}}, with its/his/her principal place of business/residence at {{merchandiser_address}} (hereinafter referred to as "The Merchandiser/Marketer").

The Company and The Merchandiser/Marketer are hereinafter collectively referred to as "the Parties" and individually as "a Party".

1. APPOINTMENT AND SCOPE OF WORK

1.1. The Company hereby appoints The Merchandiser/Marketer, and The Merchandiser/Marketer hereby accepts the appointment, to provide merchandising and marketing services for the Company's products/services, specifically {{product_category}} (hereinafter referred to as "the Products").

1.2. The scope of work shall include, but not be limited to, {{list_of_merchandising_activities}}.

2. TERM OF AGREEMENT

2.1. This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_duration}} unless terminated earlier in accordance with the provisions of this Agreement.

2.2. This Agreement may be renewed upon the mutual written agreement of both Parties.

3. REMUNERATION

3.1. In consideration for the services rendered, The Company shall pay The Merchandiser/Marketer a fee of {{remuneration_amount}} per {{payment_period}}.

3.2. Payment terms shall be {{payment_terms}}.

3.3. The Merchandiser/Marketer shall also be entitled to a commission of {{commission_percentage}}% on all sales generated directly attributable to their marketing efforts, payable {{commission_payment_frequency}}.

4. OBLIGATIONS OF THE PARTIES

4.1. The Company shall provide The Merchandiser/Marketer with all necessary product information, marketing materials, and support required to perform the services.

4.2. The Merchandiser/Marketer shall diligently and professionally execute the agreed-upon merchandising and marketing activities, adhering to the Company's brand guidelines and sales targets.

5. INTELLECTUAL PROPERTY

5.1. All intellectual property rights, including but not limited to trademarks, copyrights, and designs, associated with the Products shall remain the sole property of The Company.

5.2. The Merchandiser/Marketer agrees not to use The Company's intellectual property for any purpose other than those explicitly authorised by this Agreement.

6. CONFIDENTIALITY

6.1. Both Parties agree to keep confidential all proprietary and sensitive information disclosed during the term of this Agreement.

6.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

7. TERMINATION

7.1. Either Party may terminate this Agreement by providing written notice of {{notice_period}} days to the other Party in the event of a material breach of this Agreement.

7.2. The Agreement may also be terminated by mutual written consent of both Parties.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
