Publishing Agreement

Parties Involved

This Publishing Agreement ("Agreement") is made and entered into as of this {{day}} day of {{month}}, {{year}}, by and between:

Publisher: {{publisher_name}}, a company duly organized and existing under the laws of {{country_of_incorporation}}, with its principal place of business at {{publisher_address}} (hereinafter referred to as the "Publisher").

Author: {{author_name}}, an individual residing at {{author_address}} (hereinafter referred to as the "Author").

The Publisher and the Author are hereinafter collectively referred to as the "Parties" and individually as a "Party."

Grant of Rights

The Author hereby grants to the Publisher, its successors and assigns, the exclusive right to publish, reproduce, distribute, and sell the literary work titled "{{work_title}}" (hereinafter referred to as the "Work") in all languages and formats, including print, electronic, and audio, throughout the world during the full term of copyright, including any renewals or extensions thereof.

The Author warrants that they are the sole author and copyright owner of the Work and have the full power and authority to enter into this Agreement and to grant the rights herein granted.

Delivery of Manuscript

The Author shall deliver to the Publisher a complete and final manuscript of the Work, in a mutually agreed-upon electronic format, by {{delivery_date}}.

The manuscript shall be in a publishable condition, free from errors, omissions, and any content that is libelous, infringing, or otherwise unlawful.

Editorial Review and Acceptance

The Publisher shall review the manuscript and provide the Author with feedback and proposed edits within {{review_period}} days of receipt.

The Author shall make all reasonable revisions requested by the Publisher to ensure the Work meets the Publisher's editorial standards and market requirements.

Publication

The Publisher agrees to publish the Work within {{publication_period}} months of receiving the final accepted manuscript from the Author.

The Publisher shall determine the title of the Work, the cover design, the retail price, and all marketing and promotional strategies in consultation with the Author.

Royalties

The Publisher shall pay the Author a royalty of {{royalty_percentage}}% of the net receipts received by the Publisher from the sale of the Work.

Royalties shall be calculated and paid to the Author on a {{payment_frequency}} basis, within {{payment_days}} days after the end of each royalty period.

The Publisher shall provide the Author with a detailed statement of sales and royalties simultaneously with each payment.

Author's Warranties and Indemnities

The Author warrants that the Work is original, does not infringe upon any copyright or other proprietary right of any third party, and does not contain any libelous or unlawful material.

The Author agrees to indemnify and hold harmless the Publisher from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of any breach of the Author's warranties or any claim that the Work infringes upon any third-party rights.

Termination

This Agreement may be terminated by either Party upon {{notice_period}} days' written notice to the other Party in the event of a material breach of any provision of this Agreement, which breach is not cured within such notice period.

Upon termination, the rights granted to the Publisher under this Agreement shall revert to the Author, subject to any existing licenses or commitments made by the Publisher prior to termination.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governance}}.

Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country_of_governance}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

No modification or amendment of this Agreement shall be valid unless in writing and signed by both Parties.
