SOURCE CODE LICENSE AGREEMENT

This Source Code License Agreement (hereinafter “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_address}} (hereinafter “Licensor”); and

{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_address}} (hereinafter “Licensee”).

Collectively referred to as “the Parties”.

1. DEFINITIONS

1.1 “Source Code” means the human-readable programming instructions, including all related comments, documentation, and procedural code, for the software identified as “{{software_name}}” (hereinafter “the Software”).

1.2 “Effective Date” means the date first written above.

2. GRANT OF LICENSE

2.1 Licensor hereby grants to Licensee a non-exclusive, non-transferable, limited license to use the Source Code for the sole purpose of {{purpose_of_use, e.g., developing, modifying, and maintaining the Software for internal business operations}}.

2.2 This license does not include the right to sublicense, sell, or otherwise transfer the Source Code or any derivative works to any third party without prior written consent from the Licensor.

3. INTELLECTUAL PROPERTY RIGHTS

3.1 All intellectual property rights in and to the Source Code, including copyrights, patents, and trade secrets, shall remain the exclusive property of the Licensor.

3.2 Licensee acknowledges and agrees that it acquires no ownership rights in the Source Code under this Agreement.

4. CONFIDENTIALITY

4.1 Licensee agrees to keep the Source Code confidential and to protect it from unauthorised disclosure, access, or use, using at least the same degree of care as it uses for its own confidential information, but in no event less than reasonable care.

4.2 This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period, e.g., five (5) years}}.

5. TERM AND TERMINATION

5.1 This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated as provided herein.

5.2 Either Party may terminate this Agreement upon {{notice_period, e.g., thirty (30) days}} written notice to the other Party in the event of a material breach of this Agreement, provided such breach is not cured within the notice period.

5.3 Upon termination, Licensee shall immediately cease all use of the Source Code and return or destroy all copies of the Source Code and any derivative works, as instructed by the Licensor.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_country, e.g., South Africa}}.

6.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of {{arbitration_body, e.g., the Arbitration Foundation of Southern Africa (AFSA)}}.

7. ENTIRE AGREEMENT

7.1 This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties.
