1. Purpose
This Trade Secret Protection Policy ("Policy") sets forth the commitment of {{company_name}} ("Company") to protect its valuable trade secrets, confidential and proprietary information. It establishes guidelines and responsibilities for all employees, contractors, consultants, and third parties who may have access to such information, ensuring compliance with applicable laws and fostering an environment of trust and integrity.
2. Definition of Trade Secrets and Confidential Information
For the purpose of this Policy, "Trade Secrets" and "Confidential Information" shall include, but are not limited to, any information, data, know-how, formulas, processes, designs, plans, compilations, programs, devices, methods, techniques, drawings, inventions, creations, discoveries, improvements, data, specifications, customer lists, price lists, financial data, business plans, marketing strategies, product development plans, personnel information, and any other information belonging to the Company that derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use.
This includes both information developed internally by the Company and information obtained from third parties under an obligation of confidentiality.
3. Employee Obligations
All employees, upon commencement of their employment and throughout their tenure with the Company, are required to:
a. Sign and adhere to a confidentiality and non-disclosure agreement (NDA).
b. Exercise the utmost care and diligence in protecting Trade Secrets and Confidential Information.
c. Not disclose, publish, transmit, or otherwise make available Trade Secrets or Confidential Information to any unauthorized person or entity, inside or outside the Company.
d. Not use Trade Secrets or Confidential Information for any purpose other than for the benefit of the Company.
e. Immediately report any actual or suspected unauthorized disclosure or misuse of Trade Secrets or Confidential Information to their immediate supervisor or the Human Resources Department.
f. Return all Company property, including documents, electronic files, and any other materials containing Trade Secrets or Confidential Information, upon termination of employment or when otherwise requested by the Company.
4. Third-Party Access
Access to Trade Secrets and Confidential Information by third parties (e.g., contractors, consultants, vendors, partners) shall only be granted on a need-to-know basis and subject to the execution of a robust Non-Disclosure Agreement (NDA) or other appropriate confidentiality agreements.
The Company reserves the right to audit third-party compliance with such agreements and to enforce its rights in the event of a breach.
5. Data Security and Custody
Employees are responsible for maintaining the security of all physical and electronic documents and data containing Trade Secrets and Confidential Information. This includes, but is not limited to, securely storing physical documents, using strong passwords, encrypting sensitive data, and adhering to all Company IT security policies.
Unauthorized copying, removal, or transmission of Trade Secrets or Confidential Information from Company premises or systems is strictly prohibited.
6. Enforcement and Consequences of Breach
Any violation of this Policy will result in disciplinary action, up to and including termination of employment, and may also subject the offending individual to legal action, including claims for damages, injunctive relief, and other remedies available under applicable law.
The Company will actively pursue all available legal avenues to protect its Trade Secrets and Confidential Information, including civil and criminal remedies.
7. Policy Review and Amendments
This Policy will be reviewed periodically to ensure its continued effectiveness and compliance with evolving legal requirements. The Company reserves the right to amend this Policy at any time, with or without prior notice.
All employees will be informed of any significant changes to this Policy.
8. Acknowledgment and Agreement
