Web Content Partnership Agreement
This Web Content Partnership Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{partner1_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{partner1_address}} (hereinafter referred to as "Partner 1"); and
{{partner2_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{partner2_address}} (hereinafter referred to as "Partner 2").
Partner 1 and Partner 2 are hereinafter individually referred to as "Party" and collectively as "Parties".
1. Purpose of Agreement
The Parties hereby agree to collaborate on the creation, promotion, and distribution of web content, specifically covering {{content_niche/topic_area}} (hereinafter referred to as "Shared Content"). The objective of this partnership is to {{partnership_objective, e.g., expand reach, generate leads, provide value to audiences}}.
2. Roles and Responsibilities
2.1. Partner 1 shall be responsible for {{partner1_responsibilities, e.g., content generation, technical platform management, marketing on their channels}}.
2.2. Partner 2 shall be responsible for {{partner2_responsibilities, e.g., content editing, content distribution, marketing on their channels}}.
2.3. Both Parties shall jointly approve all Shared Content prior to publication. The approval process shall be as follows: {{approval_process_description, e.g., content shared via email, feedback within 48 hours}}.
3. Content Ownership and Licensing
3.1. Ownership of Shared Content: The Parties agree that all intellectual property rights, including copyrights, in and to the Shared Content shall be {{jointly owned by both Parties / owned by Partner 1 with a license to Partner 2 / owned by Partner 2 with a license to Partner 1}}. If jointly owned, both Parties shall have the right to use, modify, and distribute the Shared Content independently, subject to the terms of this Agreement.
3.2. Licensing: If one Party retains primary ownership, that Party hereby grants the other Party a {{license_type, e.g., non-exclusive, worldwide, royalty-free, perpetual}} license to use, reproduce, display, and distribute the Shared Content for the purposes of this Agreement.
4. Revenue Sharing (Optional)
4.1. In the event that the Shared Content generates revenue (e.g., through advertising, sponsorships, product sales), the Parties agree to share such revenue as follows: {{partner1_percentage}}% to Partner 1 and {{partner2_percentage}}% to Partner 2.
4.2. Revenue calculations and disbursements shall be made on a {{frequency, e.g., monthly, quarterly}} basis, accompanied by a detailed report from the Party responsible for revenue collection.
5. Term and Termination

5.2. Termination: Either Party may terminate this Agreement by providing {{notice_period, e.g., thirty (30) days'}} prior written notice to the other Party. 6. Confidentiality
Both Parties agree to keep confidential all non-public information disclosed by the other Party during the course of this partnership. This obligation shall survive the termination of this Agreement for a period of {{confidentiality_period, e.g., two (2) years}}.
7. Governing Law and Dispute Resolution
7.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
7.2. Dispute Resolution: Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by {{arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA) / courts of {{city}}, {{country}}}}.
