LICENSOR AND LICENSEE INFORMATION

This Website Art License Agreement ("Agreement") is made and entered into as of {{date_of_agreement}}

("Licensee")

BACKGROUND

A. The Licensor is the sole owner of all rights, title, and interest in and to the artistic works described in Schedule A (the "Artwork").

B. The Licensee desires to obtain a license to use the Artwork on its website under the terms and conditions set forth herein.

GRANT OF LICENSE

1.1. Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, non-transferable, revocable license to display and use the Artwork on the Licensee's website located at {{website_url}} (the "Website").

1.2. The Licensee may only use the Artwork for the purposes of displaying it on the Website during the Term of this Agreement. The Licensee may not resell, sublicense, distribute, or otherwise exploit the Artwork for any other purpose without the express written consent of the Licensor.

1.3. The Licensee agrees that the Artwork will be displayed with appropriate attribution to the Licensor, clearly stating "Artwork by {{Licensor_Name}}" or as otherwise specified in Schedule B.

TERM AND TERMINATION

2.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{license_term_duration}} (the "Term"), unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Either party may terminate this Agreement upon {{notice_period}} days' written notice to the other party for a material breach of this Agreement, provided that such breach is not cured within the notice period.

2.3. Upon termination or expiration of this Agreement, the Licensee shall immediately cease all use of the Artwork and remove all instances of the Artwork from its Website and any other materials within its control. The Licensee shall also provide written certification of such removal upon request from the Licensor.

FEES AND PAYMENT

3.1. In consideration for the license granted herein, the Licensee shall pay the Licensor a fee of {{license_fee_amount}} ({{currency}}) (the "License Fee").

3.2. The License Fee shall be due and payable on {{payment_due_date}}. All payments shall be made in {{currency}} to the bank account specified by the Licensor.

3.3. Any late payments may be subject to an interest charge of {{late_payment_interest_rate}}% per month or the maximum rate permitted by applicable law, whichever is lower.

INTELLECTUAL PROPERTY

4.1. The Licensee acknowledges that all rights, title, and interest in and to the Artwork, including all intellectual property rights, remain the sole and exclusive property of the Licensor.

4.2. Nothing in this Agreement shall be construed as a transfer of any ownership rights in the Artwork to the Licensee.

WARRANTIES AND REPRESENTATIONS

5.1. The Licensor warrants and represents that it is the sole owner of the Artwork and has the full right and authority to grant the license contemplated by this Agreement.

5.2. The Licensee warrants and represents that it will use the Artwork strictly in accordance with the terms of this Agreement and will not infringe upon the intellectual property rights of the Licensor or any third party.

INDEMNIFICATION

6.1. The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Licensee's use of the Artwork in breach of this Agreement.

GOVERNING LAW

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}.

ENTIRE AGREEMENT

8.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
