Website Design Agreement

This Website Design Agreement ("Agreement") is made effective as of {{date_of_agreement}} ("Effective Date"), by and between:

{{client_company_name}}, a company duly incorporated and existing under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "Client"), AND

{{designer_company_name}}, a company duly incorporated and existing under the laws of {{designer_jurisdiction}}, with its principal place of business at {{designer_company_address}} (hereinafter referred to as "Designer").

Collectively referred to as “Parties” and individually as “Party”.

1. Scope of Work

1.1. The Designer agrees to design and develop a website for the Client as described in Schedule A (the "Website").

1.2. The services to be provided by the Designer include, but are not limited to: {{list_of_services_e.g._conceptual_design,_front-end_development,_back-end_development,_content_integration,_testing}}.

1.3. Any changes or additions to the scope of work must be agreed upon in writing by both Parties and may result in additional charges.

2. Client Responsibilities

2.1. The Client agrees to provide all necessary content, including text, images, logos, and other relevant materials, in a timely manner as required by the Designer.

2.2. The Client shall provide feedback and approvals within {{number_of_days}} business days of receiving deliverables from the Designer.

2.3. Delays in providing content or feedback by the Client may result in delays in the project timeline and may incur additional costs.

3. Project Timeline

3.1. The Website design and development project shall commence on {{start_date}} and is estimated to be completed by {{completion_date}}.

3.2. A detailed project timeline with key milestones is outlined in Schedule B. Both Parties agree to adhere to this timeline to the best of their abilities.

4. Payment Terms

4.1. The total fee for the Website design and development services shall be {{total_fee_currency_and_amount}} ({{total_fee_words}}).

4.2. Payment shall be made in installments as follows:

- {{percentage_down_payment}}% ({{amount_down_payment}}) upon signing of this Agreement.

- {{percentage_milestone_payment_1}}% ({{amount_milestone_payment_1}}) upon completion of {{milestone_1_description}}.

- {{percentage_milestone_payment_2}}% ({{amount_milestone_payment_2}}) upon completion of {{milestone_2_description}}.

- The final {{percentage_final_payment}}% ({{amount_final_payment}}) upon final approval and launch of the Website.

4.3. All invoices are due and payable within {{payment_due_days}} days of receipt.

5. Intellectual Property

5.1. Upon full payment of all fees due under this Agreement, the Client shall own all intellectual property rights, including copyrights, in the final Website design and elements created specifically for the Client under this Agreement.

5.2. The Designer retains the right to use the Website in its portfolio and for promotional purposes.

5.3. Any third-party software, images, or elements used in the Website design and development shall retain their original licenses and ownership.

6. Maintenance and Support

6.1. This Agreement does not include ongoing website maintenance or support unless specifically outlined in Schedule A or a separate agreement.

6.2. The Designer may offer additional maintenance and support packages, details of which can be provided upon request.

7. Confidentiality

7.1. Both Parties agree to keep confidential all non-public information received from the other Party during the term of this Agreement.

7.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

8. Termination

8.1. Either Party may terminate this Agreement with {{notice_period_days}} days' written notice if the other Party materially breaches any terms of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice.

8.2. In the event of termination, the Client shall pay the Designer for all work completed up to the date of termination.

9. Governing Law and Dispute Resolution

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

9.2. Any dispute arising out of or in connection with this Agreement shall be subject to amicable negotiation. If not resolved, disputes shall be submitted to mediation or, failing that, to arbitration in {{arbitration_city}}, in accordance with the rules of {{arbitration_body}}.
