Website Design Consultation Agreement
This Website Design Consultation Agreement ('Agreement') is entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{client_company_name}} (hereinafter referred to as 'Client'), with a registered address at {{client_company_address}};
AND
{{consultant_company_name}} (hereinafter referred to as 'Consultant'), with a registered address at {{consultant_company_address}}.
1. Scope of Services
The Consultant agrees to provide website design consultation services to the Client as generally described in Appendix A (Scope of Work). This may include, but is not limited to, conceptual design, user experience (UX) analysis, user interface (UI) design, technology recommendations, and project planning assistance. Any changes to the scope of services must be agreed upon in writing by both parties.
2. Fees and Payment
The Client agrees to pay the Consultant a total fee of {{total_fee_currency}} {{total_fee_amount}} ({{total_fee_words}}) for the services rendered. A non-refundable deposit of {{deposit_currency}} {{deposit_amount}} ({{deposit_words}}) shall be paid upon signing this Agreement. All invoices are payable within {{payment_terms_days}} days of the invoice date. Late payments may incur an interest charge of {{late_payment_interest_rate}}% per month.
3. Client Responsibilities
The Client agrees to provide all necessary information, content (e.g., text, images, logos), and access to relevant systems in a timely manner to facilitate the Consultant's work. Delays caused by the Client's failure to provide information may result in extended project timelines or additional fees.
4. Deliverables
The Consultant shall provide the deliverables as specified in Appendix A (Scope of Work) within the agreed-upon timelines. Deliverables may include design mock-ups, wireframes, style guides, and design specifications.
5. Confidentiality
Both parties agree to keep all confidential information exchanged during the term of this Agreement, including but not limited to business strategies, proprietary software, and client data, strictly confidential. This obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.
6. Intellectual Property
Upon full payment of all fees due under this Agreement, the intellectual property rights in the final design deliverables shall be transferred to the Client. The Consultant retains the right to use the work for portfolio and promotional purposes, unless otherwise agreed in writing.
7. Termination
Either party may terminate this Agreement with {{notice_period_days}} days' written notice if the other party breaches any material term of this Agreement and fails to remedy such breach within the notice period. In the event of termination, the Client shall pay for all services rendered up to the termination date.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city_of_jurisdiction}}.
