Website Development Agreement
Parties
This Website Development Agreement (the "Agreement") is made and entered into as of {{date_of_agreement}} (the "Effective Date"), by and between:
{{client_company_name}}, a company duly incorporated and existing under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as "Client"); and
{{developer_company_name}}, a company duly incorporated and existing under the laws of {{developer_jurisdiction}}, with its principal place of business at {{developer_address}} (hereinafter referred to as "Developer").
Recitals
WHEREAS, Client desires to engage Developer to design, develop, and implement a website for Client, as more fully described in this Agreement;
WHEREAS, Developer is in the business of providing web development services and has the necessary expertise, experience, and resources to perform such services for Client;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
Scope of Work
Developer agrees to develop and deliver a website (the "Website") for Client in accordance with the specifications outlined in the 'Project Proposal' attached hereto as Schedule A (the "Specifications"). The Specifications include, but are not limited to:
Design and layout of the Website.
Development of required functionalities and features, including integration of {{third_party_services}}.
Content management system setup (CMS).
Testing and debugging of the Website.
Deployment of the Website to a hosting environment approved by Client.
Any changes or additions to the Scope of Work must be agreed upon in writing by both parties and may result in adjustments to the project timeline and / or fees.
Deliverables and Timeline
Developer shall deliver the following to Client by the dates specified:
Initial Design Concepts: {{date_initial_design_concepts}}
Website Mock-ups: {{date_website_mockups}}
First Functional Prototype: {{date_first_prototype}}
Final Website Development: {{date_final_development}}
Website Launch: {{date_website_launch}}
Client acknowledges that timely provision of feedback, content, and approvals is essential for Developer to meet these deadlines. Delays by Client may result in corresponding extensions to the timeline.
Payment Terms
Client agrees to pay Developer for the services rendered under this Agreement as follows:
An upfront deposit of {{deposit_amount}} ({{deposit_percentage}}%) of the total project fee, due upon signing of this Agreement.
A progress payment of {{progress_payment_amount}} ({{progress_payment_percentage}}%) upon completion of {{progress_milestone}}.
The final balance of {{final_balance_amount}} ({{final_balance_percentage}}%) upon successful completion and launch of the Website.
All payments shall be made in {{currency}} within {{payment_terms_days}} days of the invoice date. Late payments may incur interest at a rate of {{late_payment_interest_rate}}% per month.
Intellectual Property
Upon full payment of all fees due under this Agreement, Developer shall assign to Client all intellectual property rights, including copyrights, in and to the final Website design and code, excluding any third-party components or open-source software. Developer shall retain the right to use any general coding methods, skills, or experience gained during the project.
Client grants Developer a limited, non-exclusive, non-transferable license to use Client’s trademarks, logos, and content for the sole purpose of performing the services under this Agreement.
Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party during the course of this Agreement, including but not limited to business plans, client data, technical data, and financial information. This obligation of confidentiality shall remain in effect for a period of {{confidentiality_period}} years after the termination of this Agreement.
Termination
Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within {{cure_period_days}} days after receiving written notice thereof. In the event of termination, Client shall pay Developer for all work completed up to the date of termination. If Client terminates without cause, Client agrees to pay a termination fee of {{termination_fee_amount}}.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by negotiation between the parties. If the dispute cannot be resolved through negotiation, the parties agree to first attempt mediation in accordance with the rules of {{mediation_body}}. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body}}, by one arbitrator appointed in accordance with the said rules. The seat of the arbitration shall be {{arbitration_seat}}.
Entire Agreement
This Agreement, including all attached schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
