Website Linking Agreement

This Website Linking Agreement (hereinafter referred to as 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

AND

Party A and Party B are collectively referred to as 'the Parties' and individually as 'Party'.

Preamble/Background

WHEREAS, Party A operates the website located at {{party_a_website_url}} (hereinafter 'Party A’s Website').

WHEREAS, Party B operates the website located at {{party_b_website_url}} (hereinafter 'Party B’s Website').

WHEREAS, the Parties desire to establish a mutual linking arrangement between their respective websites to enhance visibility, drive traffic, and foster reciprocal business interests, subject to the terms and conditions set forth herein.

Linking Guidelines

Each Party agrees to place a hyperlink on their website pointing to the other Party’s website. The link shall be a mutually agreed-upon text link or graphic/logo link.

The link from Party A’s Website to Party B’s Website shall be prominently displayed on {{party_a_link_placement}} and shall use the anchor text/image: {{party_a_anchor_text_image}}.

Representations and Warranties

Each Party represents and warrants that its website content is lawful, ethical, and does not infringe upon the intellectual property rights of any third party.

Each Party further warrants that its website does not contain any material that is defamatory, obscene, or violates any applicable laws or regulations.

Indemnification

Each Party agrees to indemnify, defend, and hold harmless the other Party, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to its breach of this Agreement or its website content.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue indefinitely until terminated by either Party.

Either Party may terminate this Agreement at any time by providing {{notice_period}} (e.g., 30 days) written notice to the other Party. Upon termination, each Party shall promptly remove all links to the other Party’s website.

In the event of a material breach of this Agreement by either Party, the non-breaching Party may terminate this Agreement immediately upon written notice.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governing_law}}.

Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, interpretation, performance, breach, or termination thereof, shall be resolved through amicable negotiations between the Parties.
