WHITE LABEL AGREEMENT

This White Label Agreement (hereinafter referred to as the "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}.

BY AND BETWEEN:

{{provider_company_name}}, a company duly registered under the laws of {{provider_jurisdiction}}, with its principal place of business at {{provider_address}} (hereinafter referred to as the "Provider");

AND

{{reseller_company_name}}, a company duly registered under the laws of {{reseller_jurisdiction}}, with its principal place of business at {{reseller_address}} (hereinafter referred to as the "Reseller").

The Provider and Reseller are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

1. DEFINITIONS

1.1 “White Label Products/Services” means the products or services developed by the Provider that will be rebranded and marketed by the Reseller under its own brand.

1.2 “Intellectual Property” means all patents, copyrights, trademarks, trade names, service marks, designs, and know-how, whether registered or unregistered.

2. SCOPE OF AGREEMENT

2.1 The Provider agrees to provide the White Label Products/Services to the Reseller as detailed in Schedule A attached hereto.

2.2 The Reseller agrees to market, promote, and sell the White Label Products/Services under its own brand name, {{reseller_brand_name}}.

2.3 The Reseller acknowledges that the underlying technology and intellectual property of the White Label Products/Services remain with the Provider.

3. BRANDING AND MARKETING

3.1 The Reseller shall be solely responsible for all branding, marketing, advertising, and promotional activities related to the White Label Products/Services.

3.2 The Reseller shall ensure that all marketing materials comply with applicable laws and regulations and accurately represent the White Label Products/Services.

3.3 The Provider grants the Reseller a non-exclusive, non-transferable license to use the Provider’s trademarks and logos solely for the purpose of identifying the White Label Products/Services as originating from the Provider, where agreed upon.

4. PRICING AND PAYMENT

4.1 The Reseller shall purchase the White Label Products/Services from the Provider at the prices stipulated in Schedule B attached hereto.

4.2 Payment terms shall be {{payment_terms}} from the date of invoice.

4.3 All prices are exclusive of any applicable taxes, duties, and levies, which shall be borne by the Reseller.

5. TERM AND TERMINATION

5.1 This Agreement shall commence on the Effective Date and shall continue for a period of {{term_length}} years/months, unless terminated earlier in accordance with the provisions herein.

5.2 Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement.

5.3 Upon termination, the Reseller shall cease all use of the White Label Products/Services and return all Provider’s property.

6. CONFIDENTIALITY

6.1 Both Parties agree to keep confidential all proprietary and confidential information disclosed during the course of this Agreement.

6.2 Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing Party.

7. INDEMNIFICATION

7.1 Each Party agrees to indemnify and hold harmless the other Party from and against any claims, damages, liabilities, and expenses arising out of a breach of this Agreement or any negligent act or omission.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

8.2 Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved amicably, it shall be referred to arbitration in {{arbitration_location}} in accordance with the rules of the {{arbitration_body}}.
