BILL OF SALE IMMOVABLE PROPERTY

This Bill of Sale (hereinafter referred to as the "Agreement") is made and entered into on this the {{day}} day of {{month}}, {{year}},

BY AND BETWEEN:

{{seller_name}}, of {{seller_address}} (hereinafter referred to as the "Seller", which expression shall where the context so admits include his heirs, executors, administrators, and assigns) of the ONE PART;

AND

{{buyer_name}}, of {{buyer_address}} (hereinafter referred to as the "Buyer", which expression shall where the context so admits include his heirs, executors, administrators, and assigns) of the OTHER PART;

RECITALS

WHEREAS the Seller is the absolute owner of the immovable property more fully described in Schedule A hereto (hereinafter referred to as the "Property").

AND WHEREAS the Seller has agreed to sell and the Buyer has agreed to purchase the Property for the consideration and on the terms and conditions hereinafter appearing.

SALE AND PURCHASE

In consideration of the sum of {{currency}} {{purchase_price}} ({{purchase_price_words}}) paid by the Buyer to the Seller (the receipt whereof the Seller doth hereby acknowledge), the Seller doth hereby sell, transfer, and convey unto the Buyer, ALL THAT piece or parcel of land situate at {{property_location}} and more particularly described in Schedule A hereto, TOGETHER with all buildings and erections standing thereon, and all rights, easements, and appurtenances whatsoever to the said Property belonging or usually held or enjoyed therewith.

POSSESSION

The Seller shall deliver vacant possession of the Property to the Buyer on or before {{possession_date}}.

WARRANTIES AND INDEMNITIES

The Seller hereby warrants that he has good right, full power, and absolute authority to sell, transfer, and convey the Property to the Buyer free from all encumbrances, charges, and liens whatsoever.

The Seller shall indemnify and keep indemnified the Buyer from and against all losses, damages, costs, and expenses which the Buyer may suffer or incur by reason of any defect in the Seller's title to the Property.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. The Courts of {{city}}, {{country}} shall have exclusive jurisdiction to entertain any suit or proceeding arising out of this Agreement.
