Contract for the Storage of Goods
This Contract for the Storage of Goods ("Agreement") is made and entered into on this {{date_of_agreement}} day of {{month}}, {{year}}, by and between:
{{storer_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{storer_company_address}} (hereinafter referred to as "the Storer"); and
{{storage_provider_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{storage_provider_company_address}} (hereinafter referred to as "the Storage Provider").
The Storer and the Storage Provider are hereinafter collectively referred to as "the Parties" and individually as "a Party".
1. Definitions
1.1 "Goods" refers to the items specified in Schedule A to be stored by the Storage Provider.
1.2 "Storage Period" refers to the duration for which the Goods will be stored, as specified in Clause 3.
1.3 "Storage Facility" refers to the premises owned or managed by the Storage Provider where the Goods will be stored.
1.4 "Storage Fee" refers to the charges payable by the Storer to the Storage Provider for the storage services.
2. Agreement to Store
2.1 The Storage Provider agrees to store the Goods for the Storer at the Storage Facility located at {{storage_facility_address}}.
2.2 The Storer warrants that it is the legal owner of the Goods or has the requisite authority to store the Goods with the Storage Provider.
2.3 The Storage Provider shall exercise reasonable care and diligence in the storage of the Goods, consistent with good industry practices in {{country}}.
3. Storage Period
3.1 The Storage Period shall commence on {{start_date_of_storage}} and shall continue for a period of {{duration_of_storage}} (e.g., months, years) until {{end_date_of_storage}}.
3.2 Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party. In such an event, the Storer shall remove the Goods within the notice period.
4. Storage Fees and Payment Terms
4.1 The Storer shall pay the Storage Provider a Storage Fee of {{currency}} {{amount}} per {{billing_cycle}} (e.g., month, quarter).
4.2 The Storage Fee shall be payable in advance on or before the {{due_day_of_month}} day of each {{billing_cycle}}.
4.3 Payment shall be made via {{payment_method}} to the Storage Provider’s designated bank account: Account Name: {{account_name}}, Account Number: {{account_number}}, Bank: {{bank_name}}, Branch: {{bank_branch}}.
4.4 In the event of late payment, the Storer shall be liable to pay interest at a rate of {{late_payment_interest_rate}}% per annum, compounded monthly, on the outstanding amount.
5. Access to Goods
5.1 The Storer shall have reasonable access to the Goods during the Storage Provider's normal business hours, which are {{start_time}} to {{end_time}} on {{days_of_week}}.
5.2 The Storer must provide {{notice_period_for_access}} hours' notice to the Storage Provider prior to accessing the Goods.
6. Insurance
6.1 The responsibility for insuring the Goods against loss, damage, or theft rests with the Storer. The Storer shall obtain and maintain adequate insurance coverage for the Goods throughout the Storage Period.
6.2 The Storage Provider shall not be responsible for any loss or damage to the Goods unless such loss or damage is directly caused by the Storage Provider's gross negligence or willful misconduct.
7. Indemnity
7.1 The Storer shall indemnify and hold harmless the Storage Provider from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the storage of the Goods, except to the extent caused by the gross negligence or willful misconduct of the Storage Provider.
7.2 The Storage Provider shall indemnify and hold harmless the Storer from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the gross negligence or willful misconduct of the Storage Provider.
8. Governing Law and Dispute Resolution
8.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
8.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_institution}} for the time being in force, which rules are deemed to be incorporated by reference into this clause.
8.3 The seat of the arbitration shall be {{city}}, {{country}}.
8.4 The language of the arbitration shall be English.
9. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
